This Principal Corporate Counsel position will support Microsoft’s Digital Transformation Platform group. You will advise engineers on fast growing cloud services, and potentially other ancillary or related functions, at the forefront of helping merchants run successful ecommerce businesses and prevent sophisticated fraud attempts. For instance, these include Dynamics 365 Commerce, which uses AI/ML to support web storefronts, ecommerce systems and point-of-sale applications; and D365 Fraud Protection with its groundbreaking system that helps merchants and banks drive down payment fraud, increase revenue and improve the shopping experience for customers in real-time using cutting edge AI.

A successful Principal Corporate Counsel for this role will enjoy tackling challenging and often novel issues related to privacy, data use, IP licensing, responsible AI & ethics, ecommerce/FinTech regulations and credit card payment systems. The engineers running these services need a trusted advisor who can provide practical, creative advice – even in areas with uncertain or and developing legal and regulatory frameworks.

Responsibilities:
  • Act as primary legal counsel to engineering teams running Dynamics cloud solutions that raise novel artificial intelligence, data privacy and intellectual property issues
  • Provide practical counseling to help ensure compliance with privacy, security, payment and FinTech regulatory requirements worldwide
  • Drive deep engagement with clients to understand business strategies, timelines, and goals, and map legal resources appropriately
  • Draft and negotiate a variety of legal agreements in coordination with business development and engineering teams, including payment systems, product development, licensing and intellectual property agreements
  • Partner with engineering, AI ethics, and regulatory affairs teams to develop policies and best practices related to issues that affect the business
  • Assist compliance teams in addressing security certification audits
  • Identify opportunities to improve processes and drive those improvements and share those improvements across the wider Microsoft legal community

Qualifications:
  • JD or international equivalent law degree, excellent academic credentials, and an active license to practice law in a US jurisdiction
  • 5+ years experience required of legal experience, preferably in the technology, FinTech or payment processing industry
  • Expertise required in fraud detection, privacy (e.g. Fair Credit Reporting Act), cloud services, ecommerce, payment systems and intellectual property
  • Outstanding analytical skills
  • Bias for action, with the ability to think strategically and find creative solutions to legal issues, willingness to embrace smart risks in complex and ambiguous situations
  • Process oriented with strong communication skills and ability to build trusted advisor relationships with engineering and business clients
  • Ability to work independently, meet demanding deadlines in the face of ambiguity, triage effectively, and adjust tasks frequently
  • Demonstrated ability to work collaborative with colleagues, clients, outside counsel and subject matter experts
