In-House Counsel or Stay At Home Attorney works under the direct supervision of President and CEO and is responsible for drafting, reviewing, negotiating and finalizing investment-related and vendor contracts that support the company's business objectives, with a specific concentration in real estate-related matters. The In-House Counsel develops negotiation strategies, conducts negotiations with vendors, evaluates risk exposure, and makes recommendations to stakeholders, company representatives and senior executives. In-House Counsel works with internal organizations on real estate and investment-related matters to limit exposure and ensure compliance with internal policies, as well as compliance with applicable laws. In-House Counsel must be adept at working under deadline pressures, as well as on a variety of litigation matters. In-House Counsel will assist in selecting and monitoring outside counsel.

Responsibilities
  • Meet with internal management to fully understand the business objectives and initially assess the risks arising out of a proposed transaction
  • Operate as the company's law group point of contact during negotiations on assigned matters by reviewing, editing and drafting responses to proposed terms and reaching a successful resolution on a timely basis
  • Facilitate the development of contract templates and other tools/technologies
  • Make recommendations to company representatives, as well as stakeholders, regarding contractual risks that create legal and business exposure to the company, and facilitate internal review of issues, as well as coordinate management/legal resolution
  • Exercise sound judgment in determining when issues require the involvement of other parts of the business
  • Following the execution of a contract, provide contractual support for interpretation, including working with stakeholders, and other team members on potential disputes and audits
  • Maintain in-depth knowledge of the company's procedures, processes and policies
  • Demonstrate in-depth commercial and real estate contract law expertise and the ability to litigate and manage litigation
  • Develop and provide education to internal organizations regarding contracting best practices and other relevant topics
  • Other duties as assigned

Qualifications
  • Juris Doctorate with a minimum of 5 years of in-house or private practice experience
  • Law degree from an ABA-accredited law school
  • Active license to practice law in Texas
  • 4+ years of commercial contracting experience with an emphasis on real estate transactions, NDAs, investment portfolios and demonstrated experience litigating commercial disputes
  • Requires conceptual and innovative thinking (e.g., identifying solutions)
  • Ability to articulate complex ideas both legal, business and technical in nature
  • Excellent interpersonal and communication skills with the ability to negotiate internally and externally; strong writing skills and attention to detail
  • Ability to work under short deadlines with minimal supervision
  • Must present a positive and professional image internally and externally
  • Ability to address and identify legal issues and escalate them as appropriate
