Purpose and Objective Provide support to Legal & General Retirement America (LGRA) Head of Legal, focusing on contractual and insurance regulatory aspects of Pension Risk Transfer (PRT) transactions. Contribute to the development of LGRA’s PRT business, with a particular emphasis on the issuance of bespoke group annuity contracts to institutional pension plan clients. Assist LGRA Head of Legal on regulatory and transactional matters and coordination with internal partners.
Responsibilities: Role and Responsibilities:
Draft and negotiate product documents and contracts, reinsurance treaties, regulatory filings, and administrative and vendor agreements.
Engage with clients, including clients’ advisors, administrators and counsel, on transition matters following placement of PRT transactions. Prepare and maintain transaction documentation, and support internal operations team with the administrative implementation of transactions.
Assist LGRA Head of Legal in supervision and management of ongoing legal and regulatory requirements for PRT business and communications with regulators, financial counterparties and other partners.
Review and analyze existing and proposed federal and state legislation affecting the PRT business and research legal matters affecting reinsurance, investments, capital management, and company operations. Advise and support LGRA coordination with industry groups. Support LGRA Head of Legal in reporting and implementing newly required state regulatory programs/procedures.
Provide documentation support to management, sales, investment, administration, customer service and other LGRA business teams.
Support drafting and revisions of corporate policies and coordinating with other business units in development of standards and procedures.
Assist with resolution of customer service matters, including consumer complaints, claims processing, tax reporting, and governmental authority requests.
Assist I/T and other business areas with compliance and implementation of data security and data privacy laws and regulations, document retention and compliance with non-disclosure agreements.
Review policy forms, advertising materials and contracts from vendors.
Research and prepare legal memoranda and/or opinions that affect company practice and policies.
Provide legal counsel and advice with respect to special projects within various LGRA business units.
State Bar Membership
Proven track record in insurance regulatory matters or with the financial services industry.
3-5 years of legal experience at a law firm and/or in-house with an insurance organization.
Experience in life insurance and annuity products strongly preferred.
Familiarity with the following desirable: US pension (ERISA and tax) regulation; consumer protection and privacy regulation.
Comfortable operating independently and taking initiative within a fast-paced environment while producing high quality work.
Excellent written and verbal communication skills, characterized by the ability to clearly, concisely and consistently articulate concepts, and quantitative and qualitative information across internal business units.
Strong problem-solving and decision-making abilities, with the capacity and motivation to analyze sophisticated information, identify key action items, and drive resolutions.
