The IP & Commercial Counsel is a junior to mid-level attorney who demonstrates a passion for learning, Arbonne products, and our business. The IP & Commercial Counsel will take the lead in building a comprehensive intellectual property monitoring and compliance program to defend and protect our core brands, trademarks and other valuable IP, provide legal support to our product development and marketing departments in the product commercialization process, and actively administer contracts, including non-disclosure agreements, events contracts and statements of work.
Functional business knowledge is a must, as well as a desire to monetize IP assets and work collaboratively to initiate new processes and continually improve company efficiencies. Work will involve building processes to field internal and external inquiries regarding IP licensing and ongoing monitoring and evolution of such processes. Must be able to apply knowledge of contracts law, negotiation, dispute resolution, and business administration.
What You'll Be Doing
Monitor and update the Legal Department regarding patent maintenance fees due, and track and manage decision making regarding keeping patents active or allowing them to become abandoned with the USPTO.
Track and monitor patent applications, inventor assignments, declarations, POA's.
Coordinate with Outside Counsel on filing submissions, including applications, office action responses; coordinate identification and collection of prior art.
Maintain Arbonne’s IP docket and keep Arbonne’s General Counsel informed of key issues.
Manage preliminary trademark knock-out searches using electronic and online search tools.
Obtain copyright registrations.
Obtain music licenses and other copyright licenses.
Educate Arbonne employees on intellectual property matters.
Propose and manage trademark clearance search requests with internal stakeholders.
Research and identify issues that jeopardize the integrity of trademark preservation worldwide.
Identify targets for copyright and trademark licenses and lead client engagement for License Agreements.
Assist with management of License Agreement portfolio including gathering and maintaining regular data, tracking deadlines, renewal dates and terminations, and regularly making recommendations regarding termination, renewal and ongoing business relationship expansion.
Guide business units in the product commercialization process, including analyzing and evaluating proposed marketing claims.
Negotiate, draft, review, and maintain commercial agreements, including non-disclosure agreements, events agreements, and master services agreements.
Monitor and assist with execution of contracts, including commercial agreements, waivers, and releases.
Conduct legal research for memoranda on emerging legal issues.
Support Arbonne’s Canadian operations by managing and maintaining Arbonne’s direct selling licenses.
Support the Associate General Counsel in managing litigation.
Manage outside counsel, including outside counsel spending, by reviewing outside counsel invoices.

What You Need:
Juris Doctorate required
Technology proficiency and comfort with technology is a must
Proficiency with Microsoft Office products
Strong communication skills
Familiarity with direct sales companies or nutrition, skincare, and cosmetic products is a plus
