The Division Counsel serves as the lead legal resource for the Emergency Care Business Unit of An American Multinational Medical Technologies Corporation's Medical Division. The role is responsible for providing legal leadership as a member of the senior staff, providing accurate and timely legal advice to the business leadership and to the functional areas on a broad range of matters; and reinforcing compliance efforts to ensure adherence to applicable laws, regulations, and An American Multinational Medical Technologies Corporation policies.

Essential Duties & Responsibilities:
  • Serve as the “point person” for all legal issues related to the Emergency Care business unit, and provide legal advice in a highly regulated environment.
  • Draft, review, negotiate and advise on various types of commercial contracts, including but not limited to Sales, Services, Software, Repair, Product Development, Supply, Software, Research, Non-Disclosure, and other commercial agreements.
  • Partner with Compliance to provide counsel on compliance issues, to include matters related to interactions with healthcare professionals, AdvaMed, indirect channels, investigations, ethics and code of conduct violations, company policy infractions, US anti-kickback law, FCPA and other anti-corruption laws.
  • Manage or assist in managing dispute resolution, including litigation.
  • Provide advice and legal review on all promotional materials, marketing initiatives, and co-marketing relationships.
  • Work closely with Regulatory and Quality on FDA matters, on and off-label concerns, product complaints and injuries, and recalls.
  • Coordinate legal expenditures with Finance; effectively manage and strategize with outside counsel.
  • Partner with Business Development and the Corporate M&A legal team on acquisitions and subsequent integrations.
  • Collaborate with Engineering/R&D on product development issues.
  • Support HR on employment matters and disputes.
  • Work with other Legal Centers of Expertise on issues that arise to effectively support the business.
  • Manage one or more direct reports.
  • Address other requests for legal support and advice as required and appropriate.

Education & Special Trainings:
  • Law degree and admission to practice law

Qualifications & Experience:
  • Minimum of 6 years of related experience, to include in house, preferably as a member of a leadership team, and/or as part of a reputable law firm.
  • Experience in commercial and compliance matters. Medical industry experience is valued.
