We are looking for a San Francisco based Director of Legal to lead our legal and compliance efforts as a company. The ideal candidate will have a passion for impacting the U.S. healthcare ecosystem and is excited for the challenge of building the legal function at a high-growth healthcare technology startup.
Work closely with SmithRx Sales and Finance teams to draft, negotiate, and close contractual agreements with prospective clients and business partners
Manage existing contractual relationships with clients and business partners (e.g., renewals, terminations, interpretation of terms); proactively manage legal & business risks; and develop strategies for making improvements
In conjunction with outside counsel, manage corporate governance and financing activities (e.g., equity plan and cap table management, drafting board resolutions, assisting in financing efforts)
Work cross-functionally and assist with licensing, compliance and accreditation efforts for pharmacy benefits management (PBM) business
Provide clear, actionable advice to business personnel on a variety of matters, including contractual interpretation, regulatory questions, business plans and strategic initiatives
Manage outside corporate, employment, and health care counsel
5+ years as practicing attorney
California bar admission or eligibility to qualify as a California Registered In-House Counsel
Independent, proactive mindset and willingness to tackle issues both large and small
Deep experience in contract negotiation with sales prospects and business partners
Passion for the SmithRx mission of disrupting the PBM status quo and improving healthcare delivery through technology
Experience at a top-tier law firm a plus
Familiarity with general health care regulations (i.e., HIPAA, fraud & abuse laws, etc.) a plus
Exposure and familiarity with the PBM and/or third party administrator (TPA) business sectors a plus
