Responsibilities:
Provide legal support and guidance to business leaders and fellow attorneys, including advising on risks and other legal considerations affecting strategic and operational business initiatives.
Assists and supports the Chief Legal Officer, EVP Business Affairs in developing and maintaining relationships with Company Leadership, outside counsel, governmental authorities and other third parties.
Assists and supports the Chief Legal Officer, EVP Business Affairs in the management of legal matters as well as management of the Legal Team and its personnel.
Assist with management of legal budget internally and externally to support systematically planned programs of legal actions and to assure optimum deployment of resource within approved budget.
Support the company on international expansion from a legal and operational approach.
Prepare, manage and negotiate legal work product, including marketing materials, litigation matters, employment matters, contracts, and legal memoranda to best support the strategy of the company.
Represent the Corporate Secretary to the Board of Directors and committees when the Corporate Secretary is not available.
Prepare Board consents and minutes to reflect meetings of the Board of Directors.
Provide counsel and review on public company filings, proxy materials and shareholder meetings.
Qualifications:
Juris Doctorate Degree from an accredited institution
Must be a member of the TN bar, or licensed in another state and become a member of the TN bar as required by the state bar.
Minimum 10 years of experience in private practice or in-house experience required
Prior experience in legal leadership/management role preferred
Prior experience in health care industry preferred.
Excellent academic credentials
Demonstrated ability to work effectively with senior leadership teams
Excellent negotiation, presentation, and facilitation skills
