Responsibilities:

• Provide legal support and guidance to business leaders and fellow attorneys, including advising on risks and other legal considerations affecting strategic and operational business initiatives.
• Assists and supports the Chief Legal Officer, EVP Business Affairs in developing and maintaining relationships with Company Leadership, outside counsel, governmental authorities and other third parties.
• Assists and supports the Chief Legal Officer, EVP Business Affairs in the management of legal matters as well as management of the Legal Team and its personnel.
• Assist with management of legal budget internally and externally to support systematically planned programs of legal actions and to assure optimum deployment of resource within approved budget.
• Support the company on international expansion from a legal and operational approach.
• Prepare, manage and negotiate legal work product, including marketing materials, litigation matters, employment matters, contracts, and legal memoranda to best support the strategy of the company.
• Represent the Corporate Secretary to the Board of Directors and committees when the Corporate Secretary is not available.
• Prepare Board consents and minutes to reflect meetings of the Board of Directors.
• Provide counsel and review on public company filings, proxy materials and shareholder meetings.

Qualifications:

• Juris Doctorate Degree from an accredited institution
• Must be a member of the TN bar, or licensed in another state and become a member of the TN bar as required by the state bar.
• Minimum 10 years of experience in private practice or in-house experience required
• Prior experience in legal leadership/management role preferred
• Prior experience in health care industry preferred.
• Excellent academic credentials
• Demonstrated ability to work effectively with senior leadership teams
• Excellent negotiation, presentation, and facilitation skills
• Excellent oral and written communication skills
• Strong analytical skills
