Overview
  • The Counsel, Strategic Transactions, will be part of a legal team that supports Waters’ Corporate Development Office and Global Products group at the company’s headquarters in a variety of strategic transactions, including mergers and acquisitions, venture investments, divestitures, collaborations, in-licenses, and out-licenses, involving opportunities that directly and meaningfully impact the company’s continued success.

Working under supervision and at times with a degree of autonomy, the Counsel, Strategic Transactions, will form an important part of Waters’ global Legal Department. The successful candidate will:
  • work closely with other functional groups within Waters (e.g., Corporate Development Office, Research, Product Development, Finance, Operations, Commercial);
  • coordinate with other members of the global Legal Department;
  • consult with outside counsel to provide advice in areas outside the candidate’s expertise,
  • be comfortable working in a fast-paced and highly collaborative environment;
  • be detailed orientated; and
  • have the confidence and ability to interact with business members across the globe in a professional, collaborative, and intelligent manner.

Responsibilities
  • Provide legal, strategic, and business advice to business members on a wide range of strategic transactions and initiatives.
  • Draft and/or negotiate a variety of strategic transactions, or manage outside counsel resources for same.
  • Participate in legal due diligence in connection with evaluation or negotiation of strategic transactions, or manage outside counsel resources for same.
  • Create and deliver training and advice on key legal issues and risks associated with strategic direction and execution.
  • Establish and support a diverse and inclusive work environment that prioritizes continuous improvement.

Qualifications
  • A J.D. degree or LL.M. Degree from an ABA accredited law school, admission to practice law in a U.S. jurisdiction, and at least 2 years of relevant experience practicing law.
  • Experience with a Fortune 500 corporation (preferably in the biotechnology or pharmaceutical industry), or a nationally recognized top-tier law firm.
  • Meaningful licensing, venture investment, and/or M&A transactions experience, with a strong preference for biotech or pharmaceutical transactions experience.
  • Excellent analytical and legal drafting skills.
  • Strong interpersonal communication skills to interact directly with clients and colleagues at all levels and across different functions of the organization.
  • Demonstrated ability to handle, prioritize, and follow through on a high volume of work.
