Reporting directly to the General Counsel and working closely with outside counsel, the Counsel (Private Equity & Data Infrastructure), will take primary day‐to‐day responsibility for legal matters related to the firm’s private equity and data infrastructure funds.

The Counsel (Private Equity & Data Infrastructure) will also work closely with finance, human relations, and business development/capital formation to maintain best practices and processes across all business areas related to the firm’s private equity and data infrastructure strategies. The Counsel (Private Equity & Data Infrastructure) will, either solely or in conjunction with the General Counsel, be responsible for the following:
Lead the legal aspects of formation, fundraising, and maintenance of the private equity and data infrastructure funds, including the drafting and negotiation of key fund documents, oversight of outside counsel, acceptance of new investors, and LP transfers Partner with private equity and data infrastructure investment teams to address fund and portfolio company legal issues Coordinate with outside counsel and advise investment teams on deal closings, including AML review, compliance with fund LPAs, side letters, and firm policies, completion and collection of subscription documentation, and formation and negotiation of co‐investment entities Coordinate and advise on the sale of portfolio companies, including secondary sales Manage NDA and joinder process in conjunction with outside counsel for all private equity and data infrastructure matters Prepare and review consulting agreements, vendor contracts, engagement letters, LOIs, IOIs, and similar legal documents for the private equity and data infrastructure strategies Assist with portfolio company litigation strategy Monitor all private equity and data infrastructure entities, directors, and officers Maintain and update documentation related to all private equity and data infrastructure entities and funds, including governing documents, approval matrices, and consents Review all private equity and data infrastructure marketing materials for compliance with relevant securities laws and the Investment Advisers Act, assist in the preparation of responses to due diligence questionnaires, and respond to ongoing information requests from limited partners Create and maintain processes to streamline workflows, ensuring efficiency, productivity, and compliance

Licensed attorney with 4‐6+ years of legal experience at a top‐tier law firm, handling fund formation, transactional work, or similar matters for private equity clients Top academic credentials Excellent organizational skills with keen attention to detail and accuracy Outstanding verbal and written communication skills Business acumen and the ability to synthesize information to reach logical conclusions High degree of initiative, self‐direction, and ability to work independently and within a team Flexible and entrepreneurial
