Corporate Counsel

This Corporate Counsel position will be based in Pittsburgh, PA. The attorney should have 1-5 years of relevant experience working in a law firm and/or as in-house counsel for a publicly traded company and knowledge of the federal securities laws. This position will support the Chief Securities and Governance Counsel and the Corporate Secretary function.

This is an exciting position where you will have the opportunity to interface directly with the General Counsel and will counsel various resource units within the company, including the Investor Relations, Finance, Corporate Communications and Treasury functions. The ideal person will have knowledge of corporate and securities laws, and a willingness to develop expertise in the application of such laws and stock exchange standards, and corporate governance and executive compensation policies, as well as compliance with regulatory disclosure requirements.

Responsibilities include:
  • Provide analysis and legal advice on a wide variety of corporate matters arising under the federal securities laws (including the Securities Act of 1933, Securities Exchange Act of 1934, Sarbanes Oxley Act, and Dodd-Frank Act).
  • Monitoring and advising on legal and regulatory developments to ensure continued compliance with SEC, NYSE and other similar requirements applicable to publicly traded companies
  • Advising on governance, executive compensation and insider trading matters, as well as corporate finance transactions (including public and private securities offerings) and related securities registration requirements
  • Preparing and maintaining materials for the Board of Directors and its committees and the annual meeting of stockholders
  • Providing legal advice related to investor relations and public disclosure issues, including review of earnings announcements, press releases, and investor communications
  • Handling governance administration of the Company’s global subsidiaries and maintenance of the corporate books and records.

  • High-caliber consulting, analytical and problem-solving abilities, with ability to successfully handle critical situations and issues
  • Hands-on, ambitious and motivated self-starter

  • Law degree (JD) from a law school accredited by the American Bar Association (ABA) and currently a member of the bar in good standing.
  • 1-5 years of applicable experience, having training or practical experience with federal securities laws.
  • A willingness and desire to develop additional expertise in all areas of corporate governance and securities compliance in a publicly traded company.
