Position Summary Statement (defines the major functions/purpose of the position)
ASICS’ Legal Department is responsible for a variety of legal issues that may arise in the course of business for the Americas region (which includes certain countries from North and South America). Among its responsibilities, the Legal Department oversees contracts and compliance, mitigates risk, and ensures that the company is successful as it grows. The Corporate Counsel will report to the Associate General Counsel, and will draft and revise a variety of documents, while working with various business partners and outside counsel to provide advice, mitigate risk and ensure compliance.

Essential Duties And Responsibilities
Reviews, drafts and advises on agreements of varying complexity relating to the business’ needs, including:
  • Advertising and marketing materials, including press releases, packaging, product launch collateral, sweepstakes and promotions
  • Master Service Agreements (MSA’s) and Statements of Work (SOWs)
  • Non-Disclosure Agreements
  • Consulting Agreements
  • Independent Contractor Agreements
  • Talent Services Agreements
  • Sponsorship Agreements
  • Vendor Agreements
  • Waivers and releases
  • Builds strong relationships with internal business partners to mitigate risk yet be a trusted business advisor
  • Maintains current understanding of best practices related to legal issues in product development and marketing, demonstrates familiarity with intellectual property and privacy matters

Additional Responsibilities:
  • Demonstrates high degree of professionalism in communication, attitude and teamwork with clients, peers and management
  • Demonstrates high level of quality work and regular attendance
  • Some travel may be required throughout the domestic United States and Internationally.
  • Ability to be flexible and willing to work extended hours when necessary

Organizational Relationships
  • Interacts with all levels throughout organization including employees and outside vendors

Minimum Qualifications: The following are the minimum qualifications which an individual needs in order to successfully perform the duties and responsibilities of the position.

  • Excellent skills in analytical thinking, specifically, the ability to identify and define problems, collect data, establish facts, and develop substantiated conclusions
  • Ability to establish trust and rapport with business units
  • Ability to multitask with competing priorities- must be able to track and manage multiple projects to ensure nothing is missed
  • Attention to detail and accuracy is critical
  • Ability to work effectively under multiple time deadlines
  • Ability to work independently, identifying and resolving problems in a timely manner with minimal supervision
  • Must be able to maintain confidentiality in all matters
  • Exceptional communication (oral and written), research and customer service skills
  • Intermediate or advanced computer skills including Microsoft Office Suite (Word, Excel, PowerPoint), Google (Gmail, Google Docs), and online research (required), and Westlaw Research (preferred)
  • Excellent interpersonal skills; listens, asks relevant questions and gets clarification when necessary
  • Takes independent actions and asks for and offers help when needed
  • Adheres to all Company Policies & Procedures and Safety Regulations
  • Adheres to local, state and federal laws
  • Additional responsibilities as assigned by Associate General Counsel

  • Minimum of 5 years of relevant experience required
  • Must have at least 2 years experience with a legal firm
  • Must have at least 3 years experience in-house as a transactional attorney
  • Juris Doctorate from an accredited law school
  • Current member of the California Bar or California Registered In-House Counsel
