The Corporate Counsel will function as a key member of Incora’s legal and business teams and will be responsible for the day-to-day coordination of legal work on commercial contracts and business development with other departments such as sales, quality, human resources, accounting and tax.

The successful candidate must be highly intelligent and possess excellent business and legal judgment. He/ She must be able to work comfortably in a fast-paced environment, must be responsive to the needs of various constituents, have a high energy level, be hands-on, and have the judgment and confidence to be able to make decisions under pressure in a timely manner. This individual must inspire confidence through the strength of his or her intellect, judgment, and ability to manage interpersonal relationships at all levels.

Accountability and Scope:
  • The Corporate Counsel will function as a key member of Incora’s legal and business teams. This role will be responsible for the day-to-day coordination of legal work on commercial contracts and business development with other departments such as sales, quality, human resources, accounting and tax. Strong focus on complex contract review and analysis.

Essential Job Duties and Responsibilities:
  • Review, analyze, organize and manage existing complex customer and supplier contracts
  • Draft, review, negotiate and interpret commercial contracts and other documentation
  • Create and update internal company form and process documents primarily related to customer and supplier contracts
  • Work with other colleagues to establish processes, structure, methodologies and procedures as needed or required
  • Provide timely and thoughtful legal advice on potential risks and issues, and propose practical, responsive solutions
  • Advise on various issues such as government contracting, regulatory compliance, privacy, antitrust and competition laws, advertising/promotional matters, corporate governance, fiduciary duty, ethics, and strategic transactions
  • Consistently anticipate and provide timely guidance of mitigation strategies to guard against potential risks in the areas of contractual obligations, regulatory compliance, revenue recognition, defending intellectual property, and financial matters, and provides ongoing legal counseling and pro-active support in the areas of, claims avoidance and defense and other general corporate liability obligations
  • Educate local and global management teams on understanding relevant issues in U.S. and/or International law as necessary to advance business goals, including the development, recommendation, and communication of policy and positions on legal issues
  • Partner with sales executives, as well as colleagues in the legal department, to discuss and implement best practices and formulate new processes in connection with business needs
  • Attend company internal or external meetings, as well as company sponsored events or legally required training, as requested or necessary
  • Perform other duties as assigned

Qualifications:
Qualifications and Experience:
  • Undergrad degree in business or management preferred
  • JD degree from an accredited law school, bar admission
  • Outstanding academic credentials (excellent academic record at top tier law school)
  • A minimum of five years experience in a corporate or major law firm environment
  • Relevant experience with complex contracts analysis is required
  • A strong diverse corporate background is required, with direct experience in corporate, finance and other transactional matters
  • Experience with commercial transactions is strongly desired
  • Texas bar strongly preferred, member of the bar of at least one state and eligible for admission to the Texas bar as in-house counsel
  • Outstanding analytic, communication and organizational skills, including excellent drafting and negotiation skills
  • Proficient with Word, Excel, Teams, Sharepoint, Power Point
  • Sound business judgment, and flexibility/adaptability to manage multiple wide-ranging matters, conflicting deadlines, and new areas of expertise as business needs change
  • Demonstrated ability, in a positive and practical manner, to identify, prioritize and resolve legal issues quickly and effectively
  • Teamwork-oriented attitude
