Legendary Capital is seeking an outstanding Corporate Counsel for a leadership position. The Corporate Counsel will serve as a trusted legal and business advisor to the CEO, the Board, and other members of the leadership team. This role will lead Legendary Capital’s legal, compliance and Enterprise Risk Management (ERM) strategies and actions, plus provide oversight on public policy. The position will be located in Fargo, North Dakota.
Partner with outside counsel to provide legal advice to the senior team and multiple Boards on key issues facing Legendary Capital
Minimize legal and reputational risk.
Review and provide legal guidance on client and other business partner contracts and related disputes
Promote mitigation and lead resolution of formal disputes and litigation
Support due diligence efforts as needed, highlighting both legal and strategic risks and opportunities
Manage outside counsel relationships
Coordinate the traffic of legal matters to and from external legal counsel
Work with the Human Resources team and business partners to address and resolve employment law matters and employment-related documents
Entity formation and governance;
Contract Drafting, negotiations, and review (including: Franchise Agreements, Real Estate Purchase Agreements, real estate leases; Inter-company agreements, loan documentation, AIA construction contracts);
Compliance related matters (including licenses and permits);
Real Estate Transaction closings.
Enterprise Risk Management
Formulate, evolve and oversee the execution of a long-range, enterprise-wide risk management framework including appropriate systems, standards and other infrastructure
Facilitate and guide the Enterprise Risk Management (ERM) processes including monitoring and reporting. Periodically report the status to the Audit Committee of the Board of Directors
Drive operational excellence and continuous improvement within risk management
Maintain direct oversight and responsibility for the risk management function
Lead and manage policy and process development, training, and documentation efforts to meet compliance requirements
Ensure compliance processes and procedures adhere to relevant protocols across the organization
Manage compliance of state business and professional licensure requirements
Provide oversight of Legendary Capital’s public policy
Stay current on public policy matters in order to advise both the leadership team and applicable Boards of Directors.
What We Expect from You
Juris Doctorate degree from an accredited law school
Law firm and/or relevant in-house experience
Real Estate Transaction experience
Demonstrated experience drafting and negotiating complex contracts
Working knowledge of enterprise risk management preferred
Experience interacting with the senior leadership in organizations
Prefer experience working in a multi-state environment
