Description:
Corporate Counsel will report to the Vice President of Legal Operations, Americas, and will support a wide variety of legal initiatives in North America. DN is looking for someone with 3-5 years of contracting experience and/or commercial litigation to help support the North America procurement contracting process. The ideal candidate is also interested in learning other areas of law to support the business, such as compliance and cybersecurity. This position will actively participate and lead procurement negotiations for company contracts across North America, including leading negotiations, drafting and preparing related deal documentation, mitigating risk, and meeting directly with business partners or other functional areas to finalize transactions in accordance with internal requirements. The role requires assessing the legal, technical, operational and other commercial risks associated with deals, and preparing the necessary transactional documentation to support the company. In addition to contracting responsibilities, this role will provide day-to-day legal advice to the business on risk regarding antitrust, anti corruption, cybersecurity, data privacy, regulatory compliance, disputes and other areas.

Essential Functions:
  • Review, draft and negotiate procurement contracts relating to the company’s business and commercial relationships, such as master services agreements, statements of work, distribution agreements, lease and sublease agreements, manufacturing and supply agreements, marketing agreements, consulting agreements, and the like; analyze and provide advice with respect to interpretation of existing agreements or arrangements
  • Participate in negotiation sessions, telephonically or in-person
  • Liaise with finance, legal, sales operations, and other business units for approval of contractual terms and conditions on specific areas of expertise
  • Learning new areas of law to provide general legal and risk advice to the business
  • Resolve, advise, or escalate issues/disputes to the appropriate personnel
  • Work under the supervision of the Vice President, Legal Operations, Americas

Qualifications:
  • JD from ABA accredited law school
  • Current Bar certification in state of residence or ability to obtain in-house registration

Additional qualifications include:
  • Minimum of 3 years of progressively responsible experience including experience reviewing, drafting, redlining and negotiating contracts or litigating commercial contracts
  • Strong contract drafting and negotiation skills
  • Banking or retail industry experience preferred
  • Excellent communication (both verbal and written) and interpersonal skills
  • Knowledge of contract, commercial and general business laws and regulations
  • Ability to gain trust from, and work with, all levels of the organization
  • Strong analytical and conceptual thinking skills; ability to analyze data
  • Strong problem-solving and decision-making skills
  • Ability to prioritize workload and self-manage projects, handle multiple tasks and meet strict deadlines
  • Must be detail-oriented with high initiative with proven ability to achieve results
  • Must be proficient in Microsoft Office (Word, Excel, PowerPoint, and Outlook)
  • Able to assert own ideas and persuade others through effectively consolidating, evaluating, and presenting relevant information
  • Ability to work cross-functionally to mediate and resolve contract issues and negotiate solutions
  • Strong focus on customer service
