The RoleWe are seeking an experienced asset management attorney to be part of a team that provides day-to-day legal support to Lord Abbett’s institutional and international businesses. The role will support Lord Abbett’s domestic and international separate account and private fund business, as well as its international affiliates and all of Lord Abbett’s non-US products and services including UCITS and AIFs.
We’ll trust you to:
Institutional Clients and Separate Accounts- Draft and negotiate investment management agreements and related documentation
- Advise on ongoing client service queries related to institutional accounts
- Creation and maintenance of private funds including CITs and 3(c)(7) funds
- Lobbyist registration issues
- Form ADV
International Fund Distribution, Operation, Governance and Product Development- Counsel client service and sales teams regarding cross-border sales issues and distribution agreements
- Work with fund administration and compliance teams, deal with day-to-day queries regarding maintenance of the funds, and legal and regulatory issues arising in respect to service providers (administrator, depositary, transfer agent) to the funds
- Update and maintain fund offering documentation
- Coordinate corporate and regulatory governance of the offshore funds, including preparation of Board materials
- Assist in the development and launch of new fund products (both registered and unregistered), including the preparation of offering materials
You’ll need to have:Strong communication and organizational skills in addition to core legal competence. The role involves complex cross-border interactions with internal colleagues and external counterparts and is suitable for a candidate looking for a significant level of responsibility and business interaction.
The position requires a candidate with experience in a combination (but not necessarily all) of the following areas:- Institutional investment management agreements
- Private investment vehicles
- ERISA
- Registered funds (UCITS experience preferred) including fund governance experience
- Commercial contracts with distributors, intermediaries or other agents
The successful candidate will also possess the following attributes:- Excellent academic background, including a Juris Doctor degree from a well-respected law school
- At least 5 years of relevant experience as an attorney; law firm experience required and in-house experience strongly preferred
- Ability to handle multiple tasks, take on new responsibilities and prioritize work in a deadline-intensive environment
