Under the supervision of General Counsel, this role will provide comprehensive legal counsel and legal risk analysis on a variety of topics as assigned.
The individual in this position will draft, negotiate, and review various types of commercial transactions and company contracts, provide counsel on transactions, advise on trade compliance, research regulatory issues, liaise and advise various business units in the U.S. on federal, state, and municipal laws and regulations across multiple jurisdictions, and work on special projects as assigned.
The ideal candidate will have strong academic credentials and excellent analytical skills; the ability to navigate complex state and federal regulatory statutes that govern the production and sale of alcoholic beverages; excellent communication skills to allow effective interactions with regulators and team members; experience drafting general business related documents; ability to work collaboratively and manage numerous projects simultaneously; ability to provide real-time advisement and work independently; and familiarity or experience with the distilled spirits industry.
Bachelor’s Degree in related field required
D. or LLM required from an ABA-accredited law school
Current Bar License (licensed to practice law in the Commonwealth of Kentucky or otherwise eligible to obtain a certificate of admission)
Minimum 3+ years of experience required with a law firm or in-house, with specific experience in corporate transactions and advisement
Prepare, review, and negotiate company contracts, requests for proposals, and other legal documents in light of internal policies, standard operating procedures, and applicable laws to mitigate risk and ensure compliance with company policies and strategy
Become a subject matter expert in Company’s contract management process and drive efficiencies in the contracting process; Implement and update standard contract terms and templates
Advise business units on regulatory compliance requirements and best practices
Assist General Counsel with corporate legal tasks with a particular focus on commercial transactions, regulatory research, mergers and acquisitions, data privacy, intellectual property, field trade compliance, and drafting of policy and procedure
Interpret laws, rulings and regulations, and advise Company on legal rights, remedies and options
Work closely with the General Counsel to provide legal support to senior management of the Company as needed
Handle information requests to and from other Company personnel including requests related to commercial transactions and discovery for litigation
Assist in acquisitions including due diligence review, record keeping, and integration
Manage other duties and special projects as assigned by General Counsel
