Corporate Attorney

Description:
We are looking for a dynamic, experienced Corporate Attorney for our rapidly expanding startup business. The Corporate Attorney will help us launch a startup company that manufactures and distributes medical test kits along with multiple other companies. The Corporate Attorney will handle contracts with distributors, sub-distributors and referral agreements along with other complex legal matters and projects. Salary is competitive. Preference will be given to individual that can start immediately.
Duties and Responsibilities:
- Consult and handle all corporate legal processes (e.g. intellectual property, mergers & acquisitions, financial/securities offerings, compliance issues, transactions, agreements, lawsuits, patents)
- Develop company policy and position on legal issues
- Research, anticipate and guard company against legal risks
- Guide managers and ensure compliance with rules and regulations
- Structure, draft and review reports and other legal documents
- Represent company in legal proceedings (administrative boards, court trials etc.)
- Draft and administer all contracts
- Negotiate deals and attend company meetings
Required Skills and Abilities:
- Fifteen plus years of corporate contract experience
- Proven comparable law firm experience
- Proven background on corporate law (contract law, tax law, accounting, securities law, bankruptcy, intellectual property rights, licensing, zoning laws)
- Excellent negotiation and communications skills
- Administrative and managerial skills
- Analytical ability and strong attention to detail
- Computer skills
Education and Experience:
- Bachelor’s degree in Law
- Juris Doctorate from an accredited law school required
- Active license to practice law and/or membership in state Bar.
