Description: CMT Group is one of the largest integrated taxi technology companies in the world, currently operating in over 100 cities worldwide (co-headquartered in London and NYC). It specializes in providing a range of e-hail, payment, and technology services for taxis in North America and Europe in B2B/B2C markets. We are seeking a creative, energetic and business-minded commercial and technology attorney with a passion for technology, a deeply operational mindset, strong business acumen, and exceptional commercial and technology contract drafting and negotiating skills to join our NYC team. This position reports to the President. Excellent communication skills, a creative and business-minded approach to problem-solving, and extensive technology and commercial drafting experience a must (see requirements below). Requirements
  • 3-5 years’ experience in transactional and commercial matters/technology contract drafting and negotiating.
  • JD from an ABA accredited law school, licensed to practice law in the State in New York, and in good standing with the New York Bar.
  • Demonstrated experience negotiating complex commercial transactions, with issues related to technology, intellectual property, data security, and privacy.
  • Excellent communication and interpersonal skills.
  • Excellent analytical skills; capable of identifying and prioritizing issues and escalating where appropriate; ability to communicate legal issues clearly to business representatives.
  • Practical, efficient, and organized.
  • High level of personal integrity and professional ethics.

Responsibilities: In this role, you will:
  • Negotiate, review and draft complex and general commercial agreements (including licensing, cross-licensing, SaaS, web development, confidentiality, services, sales, consulting, partnership, joint venture, payment services, customer contracts, and other agreements), and prepare all varieties of legal documents related to general operations of the business.
  • Provide analysis and guidance on projects across diverse areas of technology, payment, media and transportation projects (including acquisitions, SaaS, and strategic partnerships).
  • Oversee and manage outside counsel in connection with (a) preparation and prosecution of CMT Group’s patent applications and trademark portfolio, and (b) the management of litigation claims in non-NY jurisdictions; in each case with a view to maximizing quality and efficacy of applications, while managing the legal department’s budget
  • Collaborate closely with CMT Group’s product, technology, sales and management teams to ensure agreements are consistent with corporate objectives and operational processes, and can be implemented timely and on-budget in conformity with contract terms.
  • Responsible for managing legal compliance with respect to the business of CMT Group; develop and implement responsive policies and processes, and maintaining permits, registrations and annual filings, necessary to ensure the ongoing compliance of the business of CMT Group with applicable laws, rules and regulations.
  • Work closely with individual departments to anticipate compliance matters and develop responsive policies, set up necessary terms and conditions for products and services, and provide legal support and advice to individual departments.
  • Ensure compliance with applicable laws and regulations, and track global developments in evolving laws, rules and regulations applicable to technology products of CMT Group (including GDPR and privacy laws); keep current on industry-wide legal trends and developments.
  • Maintain minute books and annual registrations of companies in CMT Group
  • Perform other key duties as may be required by CMT Group management board from time to time.

Preferred Qualifications
  • Experience with payment technologies/FINTECH a plus.
  • Experience with e-hail products and services a plus.
