Description:
Kaplan Test Prep, a pioneer and leader in the test prep industry, is looking to hire a part time Commercial Counsel to join our legal team. The person in this role will be reporting to our General Counsel and will provide broad commercial support to our operations, product and technology teams. This position requires a large amount of independent work but will also involve collaboration with our in-house legal team on MSAs, NDAs, SOWs, and Vendor Agreements. Primary Responsibilities / Requirements
The ideal candidate will:

  • be a valued partner to internal stakeholders translating dynamic business ideas into clear, precise agreements
  • have deep commercial contracts expertise in service and technology, licensing and publishing agreements and data privacy issues;
  • be comfortable as a corporate generalist who excels at issue spotting across a wide range of legal disciplines including technology and data privacy
  • demonstrate business sensibility and bias to action - be a proactive partner who keeps the process moving and delivers
  • possess excellent communication skills, both written and verbal
  • be prepared to take on additional responsibilities as a specialist in intellectual property and data privacy within a small legal team
  • have some familiarity with state and federal regulation of post-secondary and professional education programs (preferred but not required)

Qualifications

  • J.D. from an accredited law school
  • Member of the New York State Bar
  • Strong legal foundation and two to three years of experience in a law firm and/or in-house legal department
  • Experience managing inbound and outbound commercial contracts including enterprise and customer contracts, vendor and professional services agreements, and technology contracts
  • Excellent drafting, negotiating and analytical skills
  • Superior interpersonal and communication skills
  • Entrepreneurial spirit with the desire to work in a collaborative and fast paced environment
