LaunchDarkly is looking for an energetic, self-starting attorney to seed our legal team. As Commercial Counsel you will work on commercial, legal and business issues for a rapidly growing B2B DevOps software company. You will be the first in this role, and will report to VP Finance.
We’re looking for you to advise upon, draft and negotiate a wide range of commercial and Software-as-a-Service licensing agreements for both domestic and international deals, and advise internal clients across the company on commercial matters. While your primary internal client will be our Sales team, you will also be tapped to advise on other legal matters and manage outside specialists.
The ideal candidate will demonstrate experience with SaaS licensing/technology agreements and other transactional documents. A strong background in all facets of commercial law is required, and experience handling commercial contract disputes is preferred.
Advise on a broad range of commercial matters and support our sales teams on deal structure and contract negotiations
Review, draft, negotiate, and interpret a variety of commercial agreements including SaaS agreements, NDAs, vendor contracts, and partnership agreements
Manage multiple deals and support colleagues in the US and internationally, with sound business and legal knowledge based on company priorities
Help organization scale effectively by creating a process for contract management, including contract review, approvals and contract management.
Advise senior management and leaders on relevant legal issues and risks, complex agreement structures, approval processes, privacy and information security issues, and company policies and procedures
Provide general legal support to our global business on an as-needed basis
Earned a JD from an accredited school and current member in good standing with the state bar.
Garnered at least five years of relevant experience. Prior in-house experience is highly desirable (preferably with experience and comfort as the sole in-house professional).
Possess a solid foundation in complex commercial contracts and an ability to identify and solve for potential legal and business issues present therein.
Developed clear and concise communication skills to effectively collaborate and negotiate with both internal and external business and legal teams.
Honed strong project management skills with the ability to organize, prioritize, and remain collected under pressure.
Have a willingness to take ownership of projects, and to pitch in where you see opportunity to add perspective and value to an issue.
Adaptable in a fast-paced, high-growth environment, with an enthusiasm for learning.
Passionate about technology, and a desire to help us fulfill our mission to improve the craft of software development.

Previously worked in a high growth environment that scaled to over $100m of ARR
Deep experience in drafting and negotiating commercial sales agreements
Worked in a company that has gone through an IPO process.
B2B SaaS business model experience.
Experience with creating/managing international entities.
