This entry to mid-level position is responsible for supporting Liferay’s growing business operations in North America. The nature of the position requires close interaction and cooperation with Liferay’s sales team, business unit leaders and regional management and other internal stakeholders. This position is an extension of our North America Commercial Legal team. The focus will be on North America, but likely also includes support for APAC territories depending on interest and skills.
The preferred location for this position would be either in Diamond Bar, CA or Raleigh, NC. For particularly qualified candidates we will also consider the possibility of working out of any of our other offices in North America or remotely.
Structuring, reviewing, revising and negotiating both strategic framework agreements and transactional documents with customer prospects for the full scope of Liferay’s offerings including Subscription Services for both deployed and hosted software solutions, Managed Services, Professional Services and Trainings;
Educating prospects on open source licensing and Liferay’s business model;
Structuring, reviewing, revising and negotiating NDAs, subcontracting and channel partner agreements
Supporting marketing activities with an emphasis on data protection and competition law compliance;
Providing first point of contact support for other non-revenue contract related legal issues arising in North America (e. g. certain vendor agreements, leases, etc.);
Identifying legal and operational risks and advising the business on options and consequences;
Training internal clients on legal and contracting policies and issues, communicating with field personnel to educate on policies and procedures.
Advising the business and general operations in a variety of areas (commercial, competition, corporate, IT, communications, IP, data protection, etc.), summarizing and communicating concepts that business can use
Supporting the continuous improvement of standard form agreements, playbooks, contract templates, and legal processes
Conducting legal research
Managing and coordinating legal matters handled by outside counsel
Assisting in the establishment and roll-out of company-wide policies with respect to programs, compliance, privacy, corporate, employment, security and intellectual property matters
Fully trained lawyers who are qualified in at least one U.S. state jurisdiction
Additional qualifications in other jurisdictions in particular in the EU or the U.S. are an advantage
Creative problem-solving skills with a focus on achieving results that benefit our business while recognizing client needs
Ability to negotiate agreements in English is a must; ability to negotiate agreements in other languages is highly desired
Strong financial and business acumen is very important
Technical understanding of IT infrastructures and software development models is not required, but desirable
Prior experience in procurement or sales of software-based products and solutions is preferred
Ideally, 2-5 years of legal work experience, demonstrated success in in-house environments is preferred.
