Associate General Counsel

The Associate General Council will provide business-focused strategic counsel on a broad array of matters in support of the Company's business. This position will additionally work cross-functionally and collaboratively support other departments. This role will report directly to the General Counsel.

Essential Functions
  • Negotiate key agreements including clinical trial agreements, master services agreements, research agreements and non-disclosure agreements
  • Work with outside legal counsel, Accounting and Senior Management in drafting and revising SEC filings
  • Manage corporate governance matters including board and board committee minutes
  • Manage legal disputes, working with outside legal counsel and the General Counsel (experience with securities class action lawsuits, derivative lawsuits and regulatory securities investigations a plus)
  • Liaise with outside legal counsel regarding their assignments
  • Advise and consult with all levels of the organization including senior leadership to identify critical legal issues, assess potential legal options, and provide individuals and teams with an analysis and range of possible legal solutions
  • Partner with teams to establish a rapport and a positive working relationship to encourage and continue engagement of legal counsel in the achievement of objectives and goals
  • Partner with business functions to ensure policies and procedures related to the areas or responsibility meet internal and regulatory standards
  • Develop a thorough understanding of the company's business, its people, products, customers and competitors to provide strategic guidance to the company

Education and Experiences:
  • JD from an accredited law school
  • Strong academic credentials
  • 6+ years of experience as an attorney in a national law firm and/or a biopharmaceutical company

Knowledge and Competencies:
  • Ability to prioritize and follow through on diverse issues on a timely basis; self-starter, resourceful and able to participate in a highly collaborative, cross-functional, team-oriented environment; meet demanding deadlines and manage multi-dimensional projects
  • Must have proven skills in analyzing and solving complex legal issues, developing solutions, identifying opportunities and in managing complex legal projects
  • Positive communication style with demonstrated ability to creatively navigate and successfully drive results in a fast-paced, flexible work environment
  • A high standard of ethics
  • Learning agility and eagerness to expand to areas not previously handled
  • Exceptional written and verbal communications skills – able to effectively lead, collaborate and communicate with stakeholders throughout the company
  • Proficient with all MS Office application skills
  • Proven ability to plan ahead, anticipate bottlenecks and potential risks, and then communicate accordingly
  • Very high degree of organization with equal attention to detail
