Under the direction of the General Counsel, represents and protects the legal interests of the Company and its subsidiaries, either directly or through retained outside counsel. Serves not only as a subject matter expert on assigned areas of law and as primary legal resource for assigned business initiatives or business units, but also as a strategic business partner who adds value to the business extending beyond legal advice.
Provides legal opinions to the appropriate members of the Company’s management and executive team, including the CEO and CFO, and documents the rationale for resulting decisions made on advice of counsel.
Participates as a member of one or more committees to resolve complex business issues.
Serves as primary legal resource to develop solutions to complex legal questions for teams implementing corporate initiatives.
Directs internal investigations to minimize risks and preserve the Company’s legal rights pre- and post-dispute.
Retains outside counsel for litigation and actively manages the progress of the case from pre-litigation through the ultimate resolution.
Selects and assists outside counsel retained for matters relating to highly-specialized areas of law and assures that the Company’s interests, and the interests of its subsidiaries, are well represented in all legal relationships and transactions.
Drafts and negotiates vendor, customer and other contracts.
Advises the General Counsel and other key executives on corporate governance matters.
Develops initiatives to improve processes and implement best practices, both within and outside of the Legal Department.
Anticipates legal risks and proactively works to mitigate those risks to protect the Company.
Keeps the General Counsel and other key executives apprised of developing laws, rules, regulations and litigation that may impact the Company and its business.
Provide counseling and leadership in meeting Blue Cross and Blue Shield Association license requirements.
Interfaces and negotiates with state and federal regulatory authorities during the course of examinations, audits and other investigatory processes to protect the Company’s interests.
Functions as part of a high-performing, collaborative and collegial team, providing leadership for corporate projects with significant legal components.
Must have license to practice law in Missouri and/or Kansas or the ability to become licensed in one or both states and have remained in good standing in any jurisdiction in which a license has been issued.
Juris Doctor (J.D.) degree in law and at least four (4) years of experience managing projects and providing legal advice interpreting complex legal matters in a business environment.
Experience prioritizing and managing multiple complex projects in a changing environment.
Experience presenting in one-on-one and small group situations, as well as to top management, public groups and/or boards of directors in a corporate environment.
Licensed to practice law in Kansas and/or Missouri; meaningful legal experience in one or more of the following areas of law: labor and employment, procurement, litigation, health insurance and healthcare.
Prior experience with a health insurance carrier, preferably a Blue Cross and Blue Shield licensee.
