The Board of Governors of the Federal Reserve System (the Board), an independent agency of the federal government, serves as the nation’s central bank and conducts monetary policy; maintains the stability of the U.S. financial system; supervises and regulates a wide range of banking organizations, including systemically important financial institutions; and provides key financial services to depository institutions.
The Associate General Counsel leads and directs the work of the attorneys and paralegals in the Enforcement section. Key responsibilities of the Enforcement section include conducting investigations, representing the Board in administrative proceedings, and taking enforcement actions on behalf of the Board against institutions supervised by the Federal Reserve and their directors, officers, and employees for violations of laws, regulations, unsafe or unsound business or financial practices, breaches of fiduciary duty and violations of final orders; and advising on institutional safety and soundness matters including supervisory appeals and applications matters.
The Associate General Counsel receives general supervision from the Deputy General Counsel for the Litigation, Enforcement and Systems Matters group and supports the General Counsel and other members of the Legal Division’s officer team in achieving Division-wide objectives. The Associate General Counsel works closely with colleagues in the Division of Supervision and Regulation, throughout the Board and the Federal Reserve System, and on an inter-agency basis on a wide variety of enforcement-related issues.
The Associate General Counsel has responsibility for:
Advising on a wide range of matters involving the enforcement of federal banking laws, rules, and regulations.
Providing policy direction and expertise in pursuing formal investigations and enforcement actions against regulated banking organizations and affiliated insiders, including imposition of cease and desist orders, removals from office, and civil money penalties, to address a range of safety and soundness, Bank Secrecy Act, and other supervisory and regulatory issues.
Planning, scheduling, assigning, and reviewing work of staff; establishing guidelines and evaluating performance; and providing advice, counsel, and/or instruction to staff.
Managing attorneys and support staff in identifying potential targets for enforcement action; conducting formal investigations, interviewing and deposing witnesses, managing requests for documents, and developing theories for formal charges; prosecuting formal charges in trial-type administrative proceedings; and negotiating consent enforcement actions.
Working closely with senior officers at the Board and at the Reserve Banks, and with federal, state, and international authorities on related investigations.
Representing the Board as an authority on the most complex legal issues and projects related to banking law or other areas of law relevant to the Board’s enforcement function.
Providing briefings for Board members and the General Counsel on matters relevant to the Board’s enforcement function.
Qualifications, Skills and Experience
Juris Doctor (J.D.) and active member of a State Bar.
Possession of or the ability to obtain necessary security clearances.
U.S. citizenship required.
15+ years of legal experience.
10+ years of experience in trial-type litigation and formal enforcement investigations.
Substantial experience providing advice and analysis on issues (including complex matters) involving the enforcement of federal laws, rules, and regulations. Experience in the enforcement of banking laws, rules, and regulations a plus.
Substantial experience in managing attorneys and leading and managing projects effectively. Excellent legal skills, including the ability to identify, analyze, and explain legal issues and positions.
