What You Will Do:
The Associate General Counsel assists the Valley Health Chief Legal & Compliance Officer in providing legal advice and counsel on a diverse range of healthcare law and related issues, including physician financial relationships, drafting and negotiating contracts, supporting transactions of various natures, assisting in analysis and mitigation of compliance issues, identifying new or emerging areas of risk, and conducting legal research. It is envisioned that the Associate General Counsel will spend at least seventy percent of his or her time on physician financial relationships and contracts, and the remainder on legal matters common to a health system.

Responsibilities:
Provides legal guidance to management on physician financial relationships. Drafts, reviews, supports negotiation of, and approves contracts with physicians and physician groups. Engages in creative problem solving with contract stakeholders. Analyzes physician financial relationship compliance with Stark, Anti-Kickback Statute, and other fraud and abuse laws. • Drafts, reviews, and supports negotiation of, and approves contracts commonly entered by a health system, including contracts for clinical and non-clinical services, real estate leases, property and asset acquisitions, purchasing agreements (supply chain and materials management), information services and software, managed care contracts, clinical research agreements, licenses and other intellectual property agreements, and academic affiliations. • Seeks to improve existing contract management systems to support ongoing needs of organization. • Researches and interprets federal and state laws, regulations, interpretive guidelines, advisory opinions and court cases on privacy, EMTALA, Medicare Medicaid and other government programs, and fraud and abuse. Provides analysis and advice on legal matters related to regulatory requirements, and provides legal guidance on the development and maintenance of policies, programs or practices. • Provides legal advice and services on health law issues that have a significant impact on patient care and business operations, such as informed consent, surrogate decision-making, guardianships, reporting to agencies, tax exempt status, local taxation, etc.. • Partners with the Compliance Department and provides legal services in support of the Compliance Program. Analyzes and evaluates various compliance-related matters and assists in developing corrective action and mitigation strategies. • Drafts and presents training programs on legal topics in support of the organization’s Compliance Program and overall commitment to compliance. • Assisting senior legal counsel in legal research. • Developing new areas of sub-specialty as needs may arise. • Works effectively and efficiently with, and manages relationships with, external professionals, including legal counsel and fair market value and business consultants. • Performs additional duties and responsibilities as assigned.

What You Will Bring:
Education:
  • Graduate of an accredited law school required
  • Eligible to practice as an attorney within the Commonwealth of Virginia via a Virginia license or in-house counsel designation required

Experience:
Three years professional legal experience in a private law firm, in-house, or government setting, and a strong academic background required Prior healthcare law experience is preferred

Qualifications:
  • Mid-level knowledge of contract law, agreement structures, and contracting processes required
  • Strong contract negotiation and drafting skills required
  • Excellent written and verbal communications skills with ability to translate legal complexities into terms readily understood by management and personnel required
  • Ability to handle complex legal matters independently and to advise the company with creative solutions to problems with little or no supervision required
  • Proficient with Microsoft Office Suite required
  • Team and client service oriented, collaborative and adaptable
