The Associate Corporate Counsel will provide general legal support to the IRM business unit of Crisis24, primarily but not only in the USA. The Associate Corporate Counsel will review, revise, and negotiate customer (and to a lesser extent vendor contracts. In addition, this position will negotiate and draft distributor and partnership agreements. Projects will include working on proposals, and RFP responses, drafting and negotiating confidentiality agreements and drafting and negotiating independent contractor agreements. The role will provide input on the decision whether to send matters to outside counsel and assist in the oversight of outside counsel, as necessary. Data Privacy regulation compliance experience a plus.
Identify risks and propose alternative to mitigate risks involved in potential transactions.
Draft transactional documents dealing with SaaS licensing and service agreements in a BtoB environment.
Provide counsel and work as a team with other Garda and Crisis24 business units as necessary.
Close transactions, including sales and partnership contracts.
Assist in Data Privacy compliance.
Assist General Counsel with general Corporate legal matters (i.e. HR matters, Corporate books)
Admitted to the bar
Three to Five years of experience in contract negotiation or other corporate law.
Attention to Detail
Office environment with use of normal office equipment to include phones, computers, copiers, etc.
Some flexibility in hours is allowed, must be available during the “core hours” of 8:00 a.m. to 5:30 p.m. with occasional evening and weekend work as job duties demand.
Some flexibility is allowed to work from home in line with company policy
