Schneider Electric is seeking a Juris Doctor with a minimum of 10+ years’ experience in software licensing and commercial contracting, with deep subject matter expertise in licensing rights and protections, intellectual property ownership and related issues, complex multiparty arrangements and partnerships, and all aspects of the legal and contractual risks associated with outbound/customer-facing software sales. Prior experience in the areas of energy management, industrial automation, electrical design and/or construction software is preferred but not required.
What do you get to do in this position? To be part of Schneider Electric’s Legal team by providing substantive and practical subject matter expertise in the areas of software licensing and complex commercial transactions, with responsibilities including but not limited to:
Taking an active leadership role in supporting the transformation activities and growth of Schneider Electric’s software business
Drafting, analyzing and negotiating outbound and inbound software licensing transactions, including SaaS and cloud licensing agreements, of varying scope and complexity
Working directly with internal stakeholders, as well as with Schneider Electric customers and business partners, to negotiate complex software licenses and related agreements
Legal support on acquisitions, divestures and other transactions involving the software business
Legal support on other types of commercial transactions, including the sale to Schneider Electric customers and distributors of a wide array of products and services spanning the energy management and industrial automation businesses

This job might be for you if:
Juris Doctor from an accredited law school in the U.S.
Bar admission in at least one U.S. state
At least 10 years’ prior experience directly handling and managing complex software licensing and commercial contracting, preferably in a global setting
Law firm experience will be considered; prior in-house counsel experience within a corporate legal department strongly preferred
Strong negotiation skills, attention to detail, integrity mindset, high-energy, can-do attitude, tenacity, team spirit, proactive, collaborative, strong communication skills in multi-cultural environment, ability to build networks and strategic alliances with stakeholders and peers, ability to translate complex legal advice into clear and actionable guidance for operational teams
