Description:
Job Summary:
This position is responsible for acting as a strategic legal advisor to senior leaders in client groups. This position will also support the business in drafting and reviewing relevant agreements, client counseling, regulatory and legislative analysis.

Primary Responsibilities:
  • Prepares and analyzes materials related to securities disclosure and compliance, capital markets, acquisitions, divestitures and mergers
  • Prepares and review correspondence and communications, contracts, and other documents relating to legal matters
  • Prepares materials for the Board of Directors and drafts corporate minutes
  • Conducts legal research and investigations related to securities and corporate governance matters; develops oral and written advice and present recommendations to management
  • Provides legal advice, counsel, services, and representation to employees, managers, officials, and executives as appropriate
  • Handles assigned tasks and subject areas within areas of legal expertise with a high degree of independence, quality, competence, responsiveness, planning, and sound judgement
  • Manages, leads, develops and mentors less experienced legal staff; May also supervise administrative staff on a regular or assignment-specific basis
  • Interacts with and provides direct legal counsel to members of the Senior Executive Management team
  • Performs other duties and assigned

Knowledge, Skills, Abilities:
  • Knowledge of securities disclosure and compliance, capital markets, acquisitions, divestitures and mergers
  • Experience with corporate governance
  • Experience with matter management and legal operations
  • Knowledge of basic oil and gas contracts and related agreements
  • Knowledge of phases within oil and gas exploration and production operations, including midstream and marketing
  • Knowledge of contractual risk mitigation measures common in oil and gas contracts
  • Ability to manage multiple competing deadlines
  • Ability to deal tactfully and confidently with internal and external customers at all organizational levels in independent and often stressful situations

Education/Experience:
  • Minimum: Doctoral degree – from an accredited university – Juris Doctorate
  • Minimum: 5-8 years related work experience

Physical Demands:
Ability to lift files, open filing cabinets, and bend or stand as necessary. Ability to sit and/or stand for long periods of time. The ability to use a computer, tablet or smart phone for extended periods of time. Basic use of office equipment such as copier and fax machines. Ability to lift up to 10 pounds occasionally.

Work Environment:
This job operates in a professional office environment. This role routinely uses standard office equipment such as computers, phones, photocopiers, filing cabinets and fax machines, along with equipment necessary to design, draw, and execute plans.

Position Type And Expected Hours Of Work:
This is a full-time exempt position. Days and hours of work will vary due to workload and needs of the company.

Travel:
Frequent travel is expected for this position.
