Assistant Deputy General Counsel, Government Contracts Compliance

Responsible for providing legal support and knowledge of a legal specialty for non-routine matters affecting one or more of the business units and/or corporate headquarters. Provides advice and recommendation on complex issues that have or may have a significant impact on business activities and operations. Operates with minimal supervision and regarded as a subject matter expert. Researches legal principles and precedents. Supervises outside counsel on non-routine matters within the scope of subject matter expertise.

General Purpose: Perform the general duties of Law Firm associate level attorney for addressing government contracts compliance issues, including but not limited to:
Advising on issues such as:
  • Contracts or OTAs
  • Changes and equitable adjustments
  • Ethics and compliance
  • Suspension and debarment
  • Small business programs (including 8(a), SDVO, HUBZone, and WOSB)
  • Data rights and other intellectual property rights
  • Prime/sub relations, teaming agreements, joint ventures
  • DCAA audits, cost allowability issues
  • Terminations
  • Security clearances and classified contracts
  • Cybersecurity requirements
  • Supply chain accountability
  • Compliance with statutes and regulations such as the FAR, DFARS, False Claims Act, BAA, TAA, TINA, Wage Rate Requirements (Construction) Act (formerly “Davis-Bacon”), 41 USC Chapter 65 (formerly “Walsh-Healey Act”), Fair Labor Standards Act and the Service Contract Labor Standards statute (formerly “Service Contract Act”).
  • Conducting bid protests, pursuing claims and disputes
  • Working closely with other attorneys to provide government contracts advice.
  • Identifying compliance risk areas for implementing best practices in Company-wide government contracting practices.
  • Assisting with drafting and implementing policies, procedures, and practices to support compliance with government contracting requirements.
  • Reviewing and advising on compliance related requirements for customer and supplier contracts and related agreements.
  • Developing relationships, processes, and activities that support and continuously improve the delivery of legal services related to government contracting and compliance to the Company's business units.

Core Responsibilities
  • Provides legal counsel in a particular subject area of expertise and/or to a specific business unit or units. Dispenses legal knowledge and expertise impacting business operations. Works closely with executives and management.
  • Performs legal research when and as necessary to resolve legal issues and determine the appropriate course of action regarding a particular issue/case. Consults with and supervises outside counsel to develop legal strategies and resolve issues in non-routine matters.
  • Operates with minimal supervision and coordinates legal functions with other departments affected by the matter/issue.
  • Provides mentorship and guidance to junior level attorneys and may have direct management responsibilities for non-attorney legal specialists.
  • Consistent exercise of sound judgment and discretion in all matters.
  • Regular, consistent, and punctual attendance. Must be able to work nights and weekends, variable schedule(s), and overtime as necessary.

Skills and Abilities: Significant experience in government contracts, administrative procedures, and client counseling. Large law firm experience preferred, with in-house (government contractor or agency-side) experience a plus. Excellent research and writing skills. Good organizational and project management skills. Excellent communication skills (both oral and written). Must be able to work independently with minimal supervision.

Education, Experience and/or Training: Must be a graduate of an accredited law school. At least 5-8 years as a practicing attorney.
