Position Overview / Primary Responsibilities and Duties
The V.P, Legal will report to An American Engineering, Procurement, and Construction Company's Executive Vice President and General Counsel, and will serve as a member of, and legal advisor to, the GSUS President and business leadership team on all legal and transactional matters involving the business, including traditional commercial law and US government contracting. Key responsibilities include advising on business solutions, opportunities and risks associated with legal and transactional matters in a government services contracting environment. Responsibilities also include leadership and development of a large team-of-teams consisting of GSUS attorneys, contracts professionals, and industrial security professionals. VP will provide legal advice and counseling and represent employers in mediation, arbitration and litigation. The VP must demonstrate passion and interest in Inclusion and Diversity.

Specific Duties and Responsibilities:
  • Serve as a trusted advisor and business partner to GSUS President and leadership team, with responsibility for delivering exemplary legal services. Build strong collaborative and advisory relationships, trust, and common objectives for success.
  • Serve as a member of the General Counsel Leadership Team responsible for the strategy and provision of legal services. Collaborate with peers across the other An American Engineering, Procurement, and Construction Company businesses and various legal functional areas to ensure consistent, exemplary legal services.
  • Partner with GSUS President and leadership to achieve strong business outcomes while maintaining compliance with applicable laws and regulations.
  • Overall responsibility for advising GSUS President and leadership on special contractual, regulatory, and legal matters and staying abreast of applicable laws, regulations (including FAR/DFARS) and industry best practices.
  • Lead large teams of attorneys and contracts professionals responsible for preparing and submitting claims under government contracts and for analyzing contract provisions to identify legal and business risks and appropriate mitigation actions during proposal and contract execution periods.
  • Provide support in connection with government audits and investigations, as well as internal audits and investigations affecting the GSUS business.
  • Oversee bid protest litigation.
  • Provide support on merger & acquisition activities.
  • Develop and execute proactive strategies to improve knowledge and awareness of legal compliance. Build and maintain strong relationships with key government contracting officials, as well as internal clients and cross-functional peers across GSUS and An American Engineering, Procurement, and Construction Company.

Experience and Skills:
  • Juris Doctorate from an ABA accredited U.S. law school and active state bar license.
  • Fifteen+ years of hands-on and management-level experience providing legal advice and counseling and representing employers in mediation, arbitration, and litigation.
  • Broad experience covering all major areas of government contracting, including services contracting.
  • Experience leading and managing a contracts department within a government contractor organization, or in-house experience in traditional commercial law.
  • 5+ years managing teams of professionals.
  • In-depth knowledge of legal and regulatory requirements related to federal government contracting, including solicitation and proposal requirements, contract terms, the FAR/DFARS, and the Contract Disputes Act, Truth in Negotiations Act, Civil False Claims Act and other U.S. government procurement-related laws and regulations.
  • Experience with all types of contracts relating to providing services to DoD and other federal government agencies, including fixed price, cost reimbursable, and time & materials contracts.
  • Experience preparing requests for equitable adjustment and certified claims.
  • Experience establishing and administering joint venture agreements.
  • Experience conducting or supporting legal investigations and analyzing mandatory disclosure requirements.
  • Experience in merger/acquisition due diligence and transactions.
  • Ability to convey complex government contracting and legal concepts clearly.
  • Experience with prosecuting and defending bid protests.
  • Experience in negotiating contract terms and identifying and mitigating terms that impose risk.
