The Sr Manager, Tax Transactions Counsel will be a key member of the legal entities management function. This role provides internal legal support and project management of a broad range of internal transactions, with a focus on tax transactions, including subsidiary formations, capital changes, dividend payments, reorganizations, and dissolutions.

The role will report to the Director, Corporate and Securities Counsel. It will work with other members of the legal entities team as well. Further, the candidate will work closely with the Director of Tax to provide high quality and comprehensive legal advice and project management of tax transactions. The role will also work closely with other functions, including corporate tax, local tax and local finance.

The role is based in our corporate headquarters in Waltham, MA.

Key needs/responsibilities
  • Collaborate with tax and finance to effectuate tax transactions, following “step plans” created by the tax function
  • Draft legal documents for a variety of tax transactions and manage outside counsel for multi-jurisdictional projects
  • Serve as project manager to orchestrate all legal aspects of tax transactions, including:
  • Leading bi-weekly advisory calls to keep legal entity managers apprised of upcoming projects, current status, and action items
  • Serving as a communication link between corporate tax, local tax and finance, local service providers and legal entities management staff
  • Working with legal entity managers to (i) inform them of corporate secretarial action items, scheduling/needs for upcoming meetings, and governance requirements following meetings, and (ii) coordinate legal support for tax projects with legal service providers

Skills needed:
  • JD from an accredited law school and a member in good standing with the bar. Licensed to practice law in the U.S.
  • 5+ years target legal experience
  • Experience working on tax transactions and familiarity with “step plans”; experience working with legal entities management team is preferred
  • Understanding of how tax, legal and finance functions work in a large organization
  • Excellent work ethic, strong drafting and project management and coordination skills
  • A desire to make the company's legal entities management team better by developing processes to help guide teams engaged in sophisticated and exciting work
  • Exceptional written communication skills
  • Strong sense of ethics and integrity
