About the role:
As a key member of the Corporate Legal team, works closely with Senior Managing Counsel, Global Corporate Operations, other members of the Corporate Legal team, and other business partners in managing a wide range of corporate governance matters for A Medical Devices Manufacturer Company's subsidiaries, group structuring and acquisition integration activities, and other global corporate legal support.

Your responsibilities will include:
Subsidiary Corporate Governance
  • Help oversee (together with other staff) corporate governance work for A Medical Devices Manufacturer Company's approximately 130 global subsidiaries, including maintaining slates of directors and officers.
  • Team with Finance and Tax organizations on review of subsidiary financial statements and coordinate with outside counsel on preparation of resolutions and other legal documents related to the approval of such accounts by the subsidiary companies' boards and shareholders.
  • Work with Treasury Department on delegation of banking authority and with local business teams on delegation of general business authority to local managers.
  • Help ensure compliance with local UBO filing requirements and support Treasury and business teams on KYC disclosures.

Group Structuring and Acquisition Integration
  • Work with Tax and business teams on legal aspects of proposed intragroup restructurings, capitalizations, and dividends.
  • Incorporate and assist in start-up of new foreign subsidiaries where appropriate to support A Medical Devices Manufacturer Company's continued global expansion.
  • Participate in Legal Entity Rationalization Project activities to eliminate (through merger or liquidation) legal entities that have become dormant and are no longer needed in the group.
  • Assist Tax in preparation of intragroup agreements documenting the relationships (such as distributorship, services, licensing, etc.) between various group entities.
  • Support business teams and Tax in the integration of newly acquired businesses into A Medical Devices Manufacturer Company's structure through local business transfer agreements, entity consolidations, integration of distributor networks, etc.

General:
  • Support Corporate Legal colleagues in the M&A group where international involvement is needed.
  • Represent Corporate Legal on multi-functional project teams as needed on a wide array of global projects.

Required Qualifications:
  • Juris Doctorate
  • Five to seven years of sophisticated global corporate legal work at a top law firm and/or at a multinational company, with demonstrated experience working on international matters.
  • Excellent attention to detail, legal research and writing, communication, and project management skills.
  • Process-oriented, able to multi-task, team player, ability to work independently with limited oversight, and dedication to completing deliverables in a timely and effective manner.

Preferred Qualifications:
Demonstrated experience with complex multi-jurisdictional transactions, including integration of acquired global businesses.
