Description:

The Senior Corporate Counsel supports the legal and regulatory activities of the Company, as well as interacting with and advising Company executives, employees, and directors. This position also oversees the development and implementation of the Company's Compliance Program and Privacy Program to ensure that the Company and its personnel operate lawfully and ethically. This position will serve as a US legal liaison to the global legal and compliance teams for the parent organization and will manage those relevant communications. This role is on-site three days per week at our Bedminster, New Jersey location.

Key Responsibilities:
Legal Related:
  • Draft, review, assist in negotiations and provide legal advice regarding company transactional matters
  • Provide legal guidance and support to senior management on strategic matters, such as mergers and acquisitions, contracts, and litigation
  • Monitor and liaison with outside counsel on litigation and other legal matters
  • Partner with HR on employee related legal matters
  • Review and advise Company on legal notices, i.e. subpoenas, garnishments, class action notices, etc.
  • Review and approve Company promotional materials, and product related materials
  • Coordinate with the global legal team regarding the filing, prosecution, monitoring and maintenance of all intellectual property covering the Company's proprietary technologies and assets
  • Serve as corporate secretary
  • Monitor and advise on new developments in federal, state and local laws and regulations
  • Advise the company on legal and regulatory matters as needed
  • Develop the Legal and Regulatory Department budget, monitor actuals to budget
  • Manage Legal and Regulatory Department direct reports

Compliance Related:
  • Oversee the day to day management of the Company's Compliance Program and Privacy Program, including coordinating activities with the global compliance team
  • Periodically draft and review Company policies and procedures
  • Work with the global compliance team and Company Compliance Committee members to develop audit plans
  • Monitor and respond to reports of unlawful and unethical conduct received via the Company's Compliance Hotline or as otherwise reported to the Legal Department
  • In consultation with outside counsel, outside consultants and/or applicable departments, investigate reports of unlawful and unethical conduct
  • Develop corrective action plans to address identified unlawful and unethical conduct, as well as any shortcomings in the Company's Compliance Program
  • Provide periodic reports to the Company's board, senior management/leadership team members regarding the status of the Company's Compliance Program, including any recommended changes

Experience & Qualifications:
  • Juris Doctorate from an accredited law school
  • Admission to and maintenance of good standing with at least one state bar
  • 8+ years' experience, ideally with both law firm and in-house background, with a focus on corporate law, employee relations and contracts
  • Prior litigation experience preferred
  • Experience in small, mid-sized companies appreciated, with do-er/ leader mentality
  • Experience in pharmaceuticals, OTC & supplement industries, ideally with familiarity or experience across all 3 segments.
  • Excellent verbal and written communication skills with an ability to communicate complex legal and compliance matters
  • Strong analytical skills and attention to detail, with an ability to work independently
  • Knowledge of relevant laws and regulations
  • Individual integrity and uncompromising ethical principles, particularly as it relates to the attorney-client relationship and compliance with laws and regulations
  • Ability to anticipate business needs and proactively manage own and direct reports' time to balance priorities
  • Ability to work in a hybrid format working three days per week out of A Pharmaceutical Manufacturing Company USA's corporate office. Some travel required.
