An In House Firm is an independent oil and gas exploration and production company based in Tulsa, Oklahoma.

The Sr. Attorney will play a critical role in providing strategic legal counsel and support across a wide range of corporate transactions and initiatives, with a focus on oil and exploration legal matters. The position will work closely with other attorneys in the Company's legal department and with other Company departments. The Sr. Attorney may report to other Senior Attorneys in the department or Assistant General Counsel. The position is responsible for providing analysis and counsel on legal, policy, and contract issues. Anticipates and guards against legal risks facing the company. Work with business leaders to provide guidance on issues related to exploration and production business interactions.

Principal Duties and Responsibilities:
  • Monitor and manage litigation including the management of outside counsel;
  • Draft, review and negotiate a variety of master service agreements, work orders and various corporate agreements in conjunction with the Company's various teams;
  • Provide assistance and guidance to corporate health, safety and environmental team;
  • Provide assistance and guidance to corporate fleet vehicle team;
  • Monitor and evaluate bankruptcy filings;
  • Lead and oversee corporate state registrations for all corporate entities;
  • Draft, review, and negotiate a variety of corporate agreements and transactional documents, such as confidentiality agreements, real estate leases, construction agreements, purchase agreements, and employment contracts.
  • Provide legal advice and guidance to senior management and internal stakeholders on corporate governance matters, including board and committee matters, fiduciary duties, and compliance with regulatory requirements.
  • Conduct due diligence reviews and risk assessments in connection with corporate transactions and initiatives.
  • Assist in the development and implementation of corporate policies and procedures to ensure compliance with applicable laws and regulations.
  • Collaborate with cross-functional teams, including finance, human resources, and operations, to achieve business objectives and mitigate legal risks.
  • Stay informed about legal developments, trends, and best practices relevant to corporate law and industry-specific regulations.
  • Other duties as assigned.

Education, Knowledge and Skills:
  • Juris Doctor (jd) Degree from An Accredited Law School.
  • Admission to the bar in Oklahoma or Texas.
  • 7+ years of experience practicing corporate law, with a focus on various types of contracts.
  • Proven track record of successfully leading and managing complex corporate transactions from inception to closing.
  • Excellent negotiation, drafting, and analytical skills.
  • Ability to effectively communicate complex legal concepts to non-legal stakeholders.
  • Strong leadership and project management skills, with the ability to work independently and collaboratively in a fast-paced environment.
