Description:

A Wholesale Fuel Distributor is seeking an experienced commercial real estate attorney to support its growth initiatives. The RE Attorney will support other legal initiatives and practice areas, but will have primary responsibility for A Wholesale Fuel Distributor's transactional real estate objectives and related business functions, including establishing legal standards and applicable corporate policies and procedures for real estate.

The successful candidate will be a confident, experienced attorney with both business and legal acumen, able to coordinate, direct and advise cross functional teams. The individual must have strong managerial and organizational skills, and the ability to simultaneously manage multiple transactions and projects.

Responsibilities:
  • Oversee commercial real estate transactions, including leasing, sales and dispositions, and related closing matters.
  • Draft, review and negotiate commercial leases (e.g., retail, carwash, industrial, warehouse, corporate facilities, office, etc.), including build-to-suit, ground, space, mall, warehouses, corporate office, etc., and related agreements (e.g., SNDAs, letters of intent, subleases, intercompany leases, estoppels, landlord consents, amendments, assignments, etc.).
  • Draft, review and negotiate commercial real estate purchase and sale agreements and related agreements (easements, letters of intent, NDAs, brokerage agreements, settlement statements, deeds, etc.).
  • Together with the Property Management/Lease Administration team, manage numerous post-closing real estate matters. Implement policies and procedures for monitoring and maintaining lease compliance.
  • Coordinate and conduct real estate due diligence, including title, survey, zoning, lease abstracting, etc.
  • Oversee and coordinate real estate matters in connection with M&A.
  • Review, draft, maintain and update key real estate templates.
  • Provide lease interpretation and advice on landlord/tenant issues and disputes.
  • Provide training and professional development to business and legal teams.
  • Controlling relevant legal spending and managing outside counsel.

Qualifications:
  • Juris Doctor from an accredited law school. Member in good standing with Massachusetts bar.
  • At least 8 years experience in a law firm, in-house legal department, or a combination with a focus on commercial real estate transactions.
  • Results-oriented leader with executive maturity to render legal advice and direction to senior leaders and executive management.
  • Demonstrated advocacy and oral and written communication skills, including the ability to interact successfully with all functions and levels, including executive management.
  • Highly organized, self-motivated, and self-directed. Ability and desire to work independently, with little oversight. Ability to lead projects and direct and mentor others.
  • Ability to form strong working relationship with internal business partners while maintaining firm adherence to legal standards and the company's policies and positions.
  • Experience with enterprise lease management and/or contract lifecycle management systems/software is desired, though not required.
