Overview:
An American Multinational Technology Company has an immediate opening for a dynamic, highly motivated, and experienced attorney to join our U.S. Corporate, External and Legal Affairs (CELA) team in the Customer & Partner Solutions Group in the role of Principal Corporate Counsel. In this role you will primarily support An American Multinational Technology Company's U.S. Public Sector's State & Local Government Sales and Services (SLG) organization in the sale of cloud computing, artificial intelligence services, devices, and professional services (product support and consulting).

Qualifications:
Required/Minimum Qualifications:
  • Juris Doctorate Degree or Equivalent International Degree
    • Or Completion of a Legal Apprenticeship.
  • Active license to practice law in a jurisdiction and capable of meeting admission requirements in relevant jurisdiction.
  • 5+ years experience as a transactional attorney or contracting professional with experience in negotiating government cloud computing, software licensing, systems integration, and other complex software-related agreements.
    • Or equivalent practice of law.
  • Proficiency with An American Multinational Technology Company Office, including Outlook, Word, and PowerPoint.

Responsibilities:
  • Drafting, negotiating, and advising business clients relative to complex cloud computing, artificial intelligence services (AI), devices, professional and support services, teaming, non-disclosure and other agreements with State & Local Government industry customers, and An American Multinational Technology Company State & Local Government partners in the U.S.
  • Providing strategic advice on industry procurements, various transaction agreements and acquisition methods, as well as procurement matters; including supporting RFx responses and protest matters.
  • Providing strategic advice and guidance on rapidly changing AI, privacy, cybersecurity, procurement, and other regulatory and policy issues impacting the sale of An American Multinational Technology Company products and services to State & Local Government customers.
  • Providing other necessary general legal advice and counsel to business clients primarily in the areas of ethics and compliance, antitrust law, intellectual property law, privacy law, dispute resolution and corporate citizenship.
  • Identifying and anticipating legal risks and developing solutions to mitigate future risks.
  • Supporting training and office hours for internal stakeholders on public sector legal issues and legal compliance requirements.
  • Reviewing and recommending necessary updates to SLG contract documents and obtaining necessary approvals from relevant business units and legal teams for updated versions or transaction level concessions.
  • Engaging appropriate stakeholders to escalate issues.
  • Advising and supporting business clients on contract management, risk assessment, deal structuring, and best practices.
