Job Description Summary:
Support the Capital Markets and Public Company Advisory practice and related clients in organizing, reporting, implementing, and overseeing the practice area activities, including drafting presentations, thought leadership, materials related to market trends and “best practice” industry standards, as well as track regulatory developments directly and indirectly impacting the practice, and build out calendar of key client and marketing events, coordinating speaking and attendance opportunities for practice partners.
  • Develop and maintain substantive content relevant to the Capital Markets and Public Company Advisory practice marketing and business development efforts, including articles, client alerts, client presentations, cases studies, market surveys and blogs, while maintaining an active social media profile of the practice.
  • Assisting lawyers in the practice with keeping them up to date with industry insights, legal updates and practical guidance where necessary. PSL will take the lead in the preparation of a range of legal documents and updating them as necessary to reflect changes in regulatory requirements or case law, as well as market practice, such as standard forms used by the practice, including public company policies, corporate governance documents, practice guides, surveys on topics impacting the practice clients.
  • Maintain an up-to-date regulatory calendar impacting practice clients, anticipate changes and communicate such information to the practice leaders in time to organize proper communications to other practice areas as well as clients.
  • Work with Knowledge Management team as necessary to create, develop, maintain, and digitize model documents, forms, drafting guidance, practice area resource materials, and similar specifications for the public companies, corporate governance and capital markets practice areas, in alignment with the practice areas' needs, including but not limited to, IPOs, corporate governance, and public company reporting documents. Engage in developing generation AI tools, in collaboration with the firm's AI team, in supporting different aspects of the practice.
  • Ensure practice area content, precedents, and resource materials are up-to-date and readily accessible to attorneys on content sharing platforms, organize and curate practice sites to promote and make accessible the highest value content, and facilitate knowledge reuse. This will also include surveying precedents to create a database of sample routine disclosures for periodic reports and sample disclosures responsive to new SEC rules.
  • Serve as a source of legal, market and practical expertise; regularly review internal and publicly available transaction agreements, SEC filings, governance documents and market studies to identify market trends and governance best practices; keep current on relevant securities and corporate (Delaware, SEC and PCAOB) laws, regulations, cases and guidance, securities exchange listing rules and guidance, governance and reporting best practices and other relevant guidance; respond timely to queries; inform the practice areas of substantive legal developments.
  • Serve as national practice coordinator, responsible for group cohesion activities. Help facilitate and develop substantive legal training programs for attorneys and paralegals and understand industry best practices.
  • Possess great writing, organizational and research skills, strong critical thinking and an ability to summarize in a client-friendly way complex rules and regulations.
  • This position may require interacting with clients on occasions, therefore strong communications skills are very important.

Requirements:
Reporting to the Co-Chairs of the Capital Markets and the Public Company Advisory Practice, the ideal candidate will have 5+ years of experience in a law firm working with public company clients on a wide range of capital market transactions, SEC reporting and compliance, and corporate governance matters. Experience either in house or government/SEC is a plus.

Minimum Requirements:
  • J.D. from ABA accredited law school
  • Admission to state bar - Massachusetts, New York, District of Columbia, California, Illinois, Georgia or Florida.
  • 5 years' experience as a transactional real estate attorney in a law firm
  • Superior verbal and written communication skills
  • Meticulous attention to detail
  • Advanced proficiency in conducting research and drafting legal documents
  • Expert knowledge of the typical work flows and needs of attorneys in the practice
  • Demonstrated project management skills and the ability to analyze and solve problems in an effective and timely manner
  • Demonstrated passion for Knowledge Management, technology, innovation and change
  • Ability to work overtime when needed and travel occasionally
  • Familiarity with relevant legal technologies

Physical Demands, Work Environment, and Other Requirements
Sedentary work: Exerting up to 10 pounds of force occasionally and/or a negligible amount of force frequently or constantly to lift, carry, push, pull or otherwise move objects, including the human body. Sedentary work involves sitting most of the time. Jobs are sedentary if walking and standing are required only occasionally, and all other sedentary criteria are met.
