The Legal Counsel position delivers timely, independent, and practical advice and counsel to A Manufacturing Company Global Procurement Team in connection with matters relating to North America. The position drafts and negotiates a broad range of contracts in support of vendor, supplier, customer, and strategic relationships. As importantly, the position provides input on business strategy, evaluates legal risks, and advises the company to protect against liabilities, while helping drive the business forward in its strategic partnerships and contractual relationships. The position also advises in connection with the standardization of contract forms and developing contracting processes, including training business team members to equip them to negotiate and execute standard contracts while ensuring consistent, balanced, and approved contract terms.

What You'll Do:
  • Draft, review, and negotiate various types of commercial agreements supporting the North America Procurement team including vendor agreements, service agreements, NDA's, IT-related agreements, transportation agreements, consulting agreements, leases, and other complex commercial agreements.
  • Interact regularly with the Procurement team demonstrating creativity and innovative problem-solving in providing advice and counsel, including in connection with the interpretation and analysis of existing agreements.
  • Counsel on various supply chain matters such as regulatory compliance, logistics, transportation, supply/distribution, and customs.
  • Identify and collaborate with subject matter experts from other teams, such as compliance and litigation, to proactively identify opportunities for process improvements, efficiencies, and enhancements to contract templates based on changes in legal requirements or business strategies.
  • Manage detail-oriented and time sensitive projects related to commercial contracts where accuracy, meeting deadlines, and quality are critical.
  • Proactively and effectively identify opportunities to streamline the contracting and negotiating process.
  • Remain updated and aware of business objectives to ensure such objectives are met in negotiating and drafting commercial contracts.

What We're Looking For In You:
  • JD degree and member of state bar in good standing
  • A minimum of 5 years of transactional experience in a corporate legal department or law firm
  • Strong contract review, drafting and negotiation skills
  • Excellent written and oral communication skills
  • Ability to clearly translate legal terms to effectively communicate the legal issues that affect business opportunities
  • Outstanding interpersonal skills, including the ability to engender trust and confidence with colleagues at various levels of the company
  • Ability to take on significant responsibilities and work well under pressure and on multiple projects
