Description:

A U.S. Law Firm with Eleven Offices Nationwide, a leading national law firm, seeks an Employee Benefits and Executive Compensation attorney with 4-6 years of experience (title and hours can be flexible). The position can be filled in any of the office locations listed above, with remote consideration available.

The ideal candidate will have significant experience in all aspects of employee benefits and executive compensation counseling, including counsel with respect to benefits and compensation issues in the context of mergers, acquisitions and divestitures. Additionally, the ideal candidate will have experience with and be expected to provide services in the following areas:
  • Researching tax and ERISA issues affecting the design and operation of retirement plans, welfare and fringe benefit plans, compensation arrangements and executive agreements and plans;
  • Reviewing statutory and regulatory changes and assisting with client advice regarding effective compliance strategies with these developments;
  • Assisting with due diligence, purchase agreement review, plan terminations, and benefits integration in the corporate transactions context;
  • Drafting employment agreements, equity and phantom equity incentive arrangements and transaction bonus agreements; and
  • Completing IRS and Department of Labor correction program filings.

Experience with any or some of the following is preferred: ESOPs; multiemployer plan withdrawal liability; and Internal Revenue Code Section 409A compliance.
