As a Government, Healthcare Attorney – Vice President, Assistant General Counsel in the Commercial Banking Innovation & Products and Shared Services Legal, you will provide transactional and strategic legal support to the firm's Government, Healthcare, Higher Education and Not-for-Profit (GHHN) businesses. This role will play a key role in advising the GHHN business and provide day-to-day support for the team and its internal stakeholders. The ideal candidate will enjoy involvement with a variety of GHHN issues and collaborating with key decision makers.

Job Responsibilities:
  • Draft, negotiate and advise the business on a wide range of documentation and transactional support structures, including analysis and advice on structural and risk issues.
  • Review and respond to various solicitation documents, including but not limited to, Requests for Proposal from GHHN clients and negotiate final contracts and provide advice on exception approval issues.
  • Assist with various projects and initiatives to meet business, regulatory or operational goals and help the business address any compliance concerns.
  • Keep abreast of legal and regulatory changes, and comment on proposed legislation affecting products and services provided by GHHN and affecting GHHN clients.
  • Advise the businesses on key legal/regulatory issues.

Required qualifications, capabilities, and skills
  • Minimum of five (5) years post-admission practicing experience with a major law firm, financial institution or judicial clerkship relevant to the responsibilities of the position
  • JD or educational equivalent required. Attorney candidates must be in compliance with all relevant licensing requirements including those of the jurisdiction where the role will be located prior to commencement of employment
  • Transactional experience with heavy contract negotiation skills and experience in delivery of core banking products and services for commercial clients.
  • Experience working in or with Governments, Healthcare providers, Higher Education institutions or Not-For-Profit organizations
  • Familiarity with banking law, Uniform Commercial Code Articles 4 and 4A financial services laws and regulations
  • Ability to lead and drive teams to institute change and collaboration across a variety of functional areas
  • Ability to prioritize work, manage a large number of matters at one time, and interact with senior management

Preferred qualifications, capabilities, and skills
  • Knowledge of laws, rules and regulations applicable to GHHN clients.
  • Experience working with wholesale payment solutions.
  • Preparation of and responding to requests for proposals, particularly state and local government Requests For Proposals.
  • Knowledge of issues relating to state and local governments, including local procurement laws.
