Job Summary:
The General Counsel, Vice President is a key executive responsible for providing legal guidance and financial oversight regarding all legal and financial matters affecting the organization. This individual will oversee regulatory compliance, manage contractual agreements, mitigate legal risks, and provide counsel on financial and corporate governance matters.

Responsibilities:
  • Legal Compliance and Regulatory Oversight:
    • Stay abreast of relevant laws, regulations, and industry standards pertaining to financial services.
    • Develop and implement compliance programs to ensure adherence to applicable laws and regulations.
    • Monitor regulatory changes and assess their impact on the organization's operations.
  • Contractual Management:
    • Review, draft, and negotiate various contracts, including financing agreements, vendor contracts, and partnership agreements.
    • Ensure contracts are legally sound, protect the organization's interests, and mitigate risks.
  • Financial Matters:
    • Provide oversight and support for the financial department.
  • Risk Management:
    • Identify and assess legal risks associated with financial activities and develop strategies to mitigate such risks.
    • Develop risk management strategies to avoid potential legal liabilities.
  • Corporate Governance:
    • Ensure compliance with corporate governance requirements and best practices.
    • Advise the board of members and executive leadership on corporate governance matters.
  • Litigation Management:
    • Manage legal disputes and litigation as required.
    • Liaise with external legal counsel and represent the organization in legal proceedings when necessary.
  • Ethical and Compliance Standards:
    • Promote ethical behavior and a culture of compliance throughout the organization.
    • Provide training and guidance to employees on legal and compliance matters.

Qualifications:
  • Juris Doctor (JD) degree from an accredited law school.
  • Admission to the bar in the relevant jurisdiction.
  • Extensive experience (typically 7+ years) practicing law. Financial background is beneficial.
  • Strong understanding of financial regulations, including SEC, FINRA, and banking regulations.
  • Proven track record of providing strategic legal counsel.
  • Excellent negotiation, communication, and analytical skills.
  • Ability to work collaboratively across departments and influence decision-making at the executive level.
