Position Description:
The General Counsel will be responsible for negotiating, drafting, and executing agreements and contracts on behalf of the company.

Essential Duties and Tasks
  • Offer counsel on a variety of legal issues and corporate governance.
  • Oversee, negotiate M&A transactions.
  • Advise on contract status, legal risks, and the legal liabilities associated with different transactions.
  • Research and anticipate unique legal issues that could impact the Company.
  • Provide training to the Company on legal topics.
  • Formulate and specify internal governance policies.
  • Coordinate with external parties on behalf of the Company to ensure the Company's best interests are being served.
  • Draft and review agreements, contracts, and other legal documents to protect the Company, prevent disputes and avoid loopholes.
  • Supervise administrative claims and litigation involving the Company.
  • Prepare and review employment/labor-related policies and procedures.
  • Participate in investigations and reports on findings.
  • Provide leadership and direction to ensure strong partnerships with the business.
  • Any other legal matters that may arise in business.
  • Work closely with Corporate Development, Strategy, Business Development, Program Management, Engineering & Technology, Finance, Global Supply Chain, Operations and Legal to evaluate opportunities, prepare review materials, and gain senior executive level approvals to proceed with transaction(s)
  • Participate in executive level meetings on new M&A targets and business ventures by presenting Business Ventures opportunities for review and approval.

Education and/or Experience:
  • Must have a law degree from an accredited university.
  • Minimum of (5) years' experience working at a law firm or in-house.

Certificates, Licenses, Registrations:
  • Member of the State Bar of Texas.
