Major Responsibilities:
A Biotechnology Company, a Life Science product and services company, is looking for a General Counsel with the experience to address a full scope of corporate legal matters, including experience in contract drafting from negotiation to full execution and a desire to assist with the organization's business development efforts.

In this role, reporting directly to the CEO, you will be responsible for general oversight of corporate legal matters. You will manage A Biotechnology Company's outside legal counsel and head a small, motivated team within the larger organization.

Specific Duties:
General Duties:
  • Coordinate and manage corporate legal matters.
  • Support to CFO on SEC filings.
  • Oversee legal matters within the organization
  • Advising C-Suite on new laws, existing laws, and legal rights that would impact the business
  • Act as the business's legal representative
  • Maintaining knowledge of the company's legal documents and operations
  • Assists in protecting an organization's legal interest and maintaining its operations within the law
  • Identify and analyze legal issues, draft key documents, and assure legal compliance
  • Communicating with outside legal counsel
  • Crafting and reviewing legal strategy in response to any litigation.
  • Reduce outside legal spend.

Contract Responsibilities
  • Work on various contracts and agreements, such as vendor relationships, strategic partnerships, regulatory filings, licensing, and contracts/agreements. This includes analyses and responses to complex inquiries concerning contract obligations relating to A Biotechnology Company's business.
  • Combine legal and technical knowledge to provide A Biotechnology Company with high-level, impactful guidance and support.

Patent Responsibilities
Provide general oversight in patent development, prosecution, appeals, reissues, and reexaminations with in-house and outside counsel.

Requirements:
Education: Requires a Juris Doctor degree from an accredited law school and must be at good standing with the state Bar.

Experience: Minimum of 10 years of in-house and/or law firm experience as a practicing attorney and expertise with a research-focused life science company. Ability to negotiate and draft agreements for a research-focused life science or biotechnology company. In-depth knowledge of applicable regulatory and compliance requirements in biotechnology, life sciences, and clinical laboratories. Experience identifying and addressing international legal issues, such as the Foreign Corrupt Practices Act, anti-bribery, anti-kickback, anti-slavery, and privacy (GDPR et al.).

Skills: Excellent oral and written communication skills. Self-motivated and independent thinker who can work transparently and take accountability. Solid problem-solving and analytical ability. Global experience a plus.
