An American Biotechnology Company's Corporate Governance & Securities Team is seeking an experienced Attorney to provide legal advice with regard to public company reporting, securities laws compliance, treasury/financing matters, corporate governance, and general corporate matters. The attorney will be an integral part of a proactive, agile, and solutions-oriented legal team that provides advice to a number of key internal clients.

This position is hybrid 3 days a week onsite at our Corporate Offices based in Sleepy Hollow, NY. This is not available for fully remote based work.

As a Director, Counsel for Corporate Governance & Securities a typical day may include:
  • Assist in the preparation of, coordinate legal input for, and provide overall legal support for current and periodic reports to the SEC, including Forms 10-K, Forms 10-Q, and Forms 8-K.
  • Prepare, review, and provide disclosure advice concerning Section 16 reporting.
  • Assist in the preparation of, coordinate legal input for, and provide overall legal support for proxy statements and related materials, including the compensation discussion and analysis.
  • Assist with financing matters and legal support of the treasury function.
  • Assist with shareholder engagement matters and perform research relating to various corporate governance issues.
  • Help maintain accurate corporate records and documentation and provide ongoing administration and data maintenance of subsidiaries on a global basis (domestic and international).
  • Conduct SEC, NASDAQ, and general corporate governance and disclosure research and analysis and provide support to internal clients, including Investor Relations, Accounting, Finance, Treasury, and Corporate Affairs with regard to external and internal communications and other matters.
  • Draft and maintain shareholder and board resolutions, consents, agendas, secretary's certificates, and other records.
  • Assist with annual shareholder meeting matters.
  • Perform other duties as assigned.

To be considered for this role you must posses a BA/BS and JD with excellent law school credentials. Licensed to practice law in New York or be eligible for licensure as a registered in-house counsel in New York. 5 – 10 years of experience in SEC and public company compliance and corporate governance. Law-firm training preferred; experience with biotechnology or pharmaceuticals companies a plus.
