Reporting to the Chief Business Officer, A Biotechnology Company is seeking an experienced and collaborative Director, Legal. You will lead and handle all aspects of legal contracts and will help to establish or improve processes related to our compliance and legal needs. You will have broad involvement in work central around A Biotechnology Company goals. This is an exciting opportunity for someone to join a dynamic team at a public company while gaining broad exposure to a wide range of business, legal, and compliance issues as the company grows over time.

Key Responsibilities:
  • Drafting, reviewing, and negotiating a wide range of legal documents to support a broad range of client groups within Bolt Biotherapeutics, including Master Services Agreements, Laboratory Agreements, Statements of Work, Consulting Agreements, and Confidentiality Agreements, Clinical Trial Agreements, escalating to manager and others as needed.
  • Support our existing strategic alliances and work with collaboration partners.
  • Work with IT to optimize and improve Bolt's contract management system, including identifying areas for efficiencies.
  • Manage, train, and develop Bolt's contract manager.
  • Provide legal analysis and advice to business partners on a broad range of general corporate and securities matters typical for a publicly traded clinical stage biotech company, including SEC reporting, corporate governance, annual meeting management, and fundraising.
  • Support the company's senior executives and board of directors, including board committees and the company's disclosure committee.
  • Analyzing non-standard, complex problems based on experience and making recommendations on how to proceed.
  • Ensure compliance with all applicable corporate legal regulations, partnering with finance, investor relations, corporate communications, or other line functions where needed.
  • Enhance existing corporate policies and develop new policies where needed, develop training materials, and ensure adequate training.
  • Ability to work independently or as part of a team, and either with or without the support from outside counsel depending on the project.
  • Advise on U.S. and global privacy matters and data protection, including developing processes for compliance with GDPR and other applicable privacy laws.
  • Prior experience with corporate governance, corporate finance, and SEC reporting, as well as financing transactions.
  • Enhance existing company policies and develop new ones where needed, develop training materials, and ensure adequate training on, and monitoring of, legal and compliance matters.
  • Manage and supervise law firms as appropriate.

Job Requirements:
  • JD degree from an accredited law school with membership in good standing with the California state bar or the ability to practice law in-house in California.
  • Ten plus years of experience in the biotech/pharmaceutical industry. 4+ years transactional experience supporting commercial contracts, R&D functions, and clinical operations.
  • Solid grasp of contracting concepts and strong skills in drafting, negotiating, and interpreting a wide range of commercial and vendor agreements, such as master services agreements, consulting agreements and confidentiality agreements.
  • Experience with contract management software.
  • Ability to identify contract-related risks and issues and propose solutions and mitigations.
  • Provide legal advice on disclosure matters, including investor presentations, press releases, and other corporate internal and external communications.
