As a member of the A Hospitals & Health Care Company commercial legal team, you will be responsible for drafting, reviewing, negotiating and maintaining services agreements with healthcare clients and suppliers. You will work with sales, procurement and other departments to help ensure that there is consistency, compliance and scalability throughout the contracting process.

In this role you will:
  • Manage a high volume of contracting through process efficiencies and organization.
  • Draft, review and negotiate a wide range of contracts including service agreements, technology agreements, software licensing agreements, NDAs, independent contractor agreements, and other commercial agreements.
  • Maintain templates and contracting processes that are effective and efficient, and participate in the continuous improvement of document templates.
  • Work within the contract management system to transfer completed contracts to the system, improve the contracting process and increase communications with stakeholders.
  • Draft, review and negotiate business associate agreements with clients and vendors in compliance with HIPAA.
  • Review RFPs and RFIs and partner with the sales team on new customer opportunities.
  • Analyze contracts and advise key stakeholders and business leaders on issues and risks from a legal perspective, and ensure agreements reflect our services and business needs.
  • On a daily basis, review new contract requests, perform initial triage to gather required data and then distribute contracts to members of the Commercial Legal team.

To be successful you must possess:
  • J.D. degree from an ABA-approved law school, and an active member in good standing of a State Bar.
  • At least five (5) years of experience at in-house legal department (preferred) or a law firm working on commercial transactions in a high-volume environment.
  • Significant experience drafting, reviewing and negotiating services agreements.
  • Exposure to and familiarity with the following areas of law are a plus: healthcare and federal and state privacy and data protection laws.
  • Excellent analytical, written and oral communication skills.
  • Experience reviewing RFPs and RFIs from healthcare providers (preferred).
  • Demonstrated ability to manage competing priorities in a fast-paced demanding environment.
  • Work with a high degree of autonomy, but able to successfully collaborate and build relationships with colleagues in a distributed work environment.
  • Willingness to learn the R1's business and build strong relationships with internal stakeholders.
  • Must possess good judgment, and an ability to find the right balance between legal risks and business goals.
