Basic Function:
An Independent Petroleum Refiner in Dallas, Tx is seeking a Corporate Counsel -IT, who will be responsible for handling and providing expertise and assistance to the company, primarily assistance on technology transactions and related matters.

Job Duties:
Essential Job Duties/3: (functions considered essential as defined by ADA)
  • Draft, review, and negotiate contract terms and conditions in IT transactions including SaaS, IaaS, and PaaS license agreements; telecom services; and other types of related goods and services in collaboration with the Company's IT and Procurement teams;
  • Manage a fast-paced, large volume of complex and varied contracts independently with limited oversight;
  • Collaboratively and effectively work with various teams throughout the Company, advising on strategy and approach for addressing outstanding contract modifications with supplier counsel and procurement teams as necessary to facilitate vendor engagement, software and service acquisition, go-live deadlines, and risk mitigation;
  • Communicate with internal stakeholders at various levels within the Company;
  • Work on improving processes to enhance legal review, contract lifecycle management, and collaborative engagement with stakeholders;
  • Special assignments or tasks assigned to the employee by their supervisor, as determined from time to time in their sole and complete discretion.

Experience:
Minimum of at least 4 - 8 years of post-JD experience preferably with a law firm and in-house, with a primary, consistent focus on drafting and negotiating contracts for software and software/hardware systems, including Cloud-based systems (IAAS, SAAS, PAAS).

Education Level:
A minimum of a Jurisprudence Doctorate Degree from an American Bar Association accredited law school is required.

Licensed and in good standing with a state bar (admission to the State Bar of Texas, or eligibility to waive into the State Bar of Texas, is strongly preferred). Ability to effectively communicate with others at all levels of the organization and outside counsel, both written and verbal communication.

Supervisory/Managerial Responsibility
Must be able to supervise and lead work of paralegals and outside counsel effectively.

Work Conditions:
Office Based with occasional travel.

Physical Requirements:
Job conditions require standing, walking, sitting, talking or hearing, making visual inspections, making precise hand and finger movements, lifting or carrying up to 25 lbs., pushing or pulling up to 25 lbs., perceiving color differences, required to wear personal protective equipment as needed (beards are not permitted). Job conditions may require twisting, stooping, crouching, kneeling, reaching or grasping, and working in confined spaces as permitted.
