The UHS Corporate Legal Department is hiring a Counsel - Healthcare Operations to serve in-house counsel and review and provide guidance with respect to a wide range of physician contracts for UHS' Behavioral Health Division entities, including Stark/AKS analysis, FMV review, dispute resolution, and contract enforcement. Additionally, this role serves as deal counsel for corporate development transactions, including mergers and acquisitions, divestitures, joint ventures, partnerships, and other transactions with third parties.

Key Responsibilities include:
  • Provide legal advice on regulatory issues such as EMTALA, HIPAA, reimbursement, fraud and abuse, Stark and Anti-kickback issues in all aspects of health system operations. Reviews clinical trial agreements and provides legal advice for clinical trials at all UHS facilities
  • Research and provide legal advice concerning health care operations, including contracting, statutory application, government regulation, compliance, and other issues
  • Reviews and/or drafts physician contracts and related documents
  • Provide advice and counsel to company officers and executives in connection with facility operations, fraud and abuse matters, and/or litigation matters
  • Retain, manage, and assist outside counsel for legal matters as directed by Senior Counsel or Associate General Counsel
  • Review and drafts agreements, negotiates, and counsels with respect to third party transactions including mergers and acquisitions, divestitures, joint ventures, partnerships, and other transactions with third parties
  • Provide advice and counsel to Risk Management, Managed Care and Information Systems functions of the company

Qualifications:
  • Law degree with 3 - 5 years' experience in health care provider operations.
  • Experience advising healthcare entities on a variety of transactional, operational, and regulatory matters
  • Ability to negotiate contract terms to accomplish business objectives and manage complex matters
  • Experience analyzing contract proposals for Stark/AKS and regulatory compliance
  • Excellent organization and interpersonal skills, strong time management skills, and collaborative work style
  • Ability to manage and respond to multiple priorities in a fast-paced environment and present clear recommendations assuring legal compliance for all levels of executive staff and facilities
  • Must have experience as an attorney and be admitted into the state bar
