Description:

As Corporate M&A Counsel, you will report to the Vice President, General Counsel, Global Corporate, and assist others within the A Global Provider of Power Management and IT Solutions Company in support of A Global Provider of Power Management and IT Solutions Company's corporate development team and global corporate legal matters.

Interactions
The Corporate M&A Counsel will interact with our management, and business associates on the finance, accounting, tax, investor relations, and strategy and business development teams, as well as with myriad of external legal service providers, and other individuals depending on the issue at hand.

Reporting Relationships:
The Corporate M&A Counsel will report to the Vice President, General Counsel, Global Corporate.

Responsibilities:
  • Assist in drafting and negotiating asset and share purchase/sales agreements and ancillary documentation, including but not limited to, transition services agreements, consulting and employment agreements, tax matters agreements, IP license agreements, etc.;
  • Effectively provide support for merger, acquisition, and divestiture activities, including, but not limited to, due diligence, closing and post-closing activities, including integration or divestment processes;
  • Provide support for corporate governance related matters, including but not limited to review and preparation of board and committee related materials, annual stockholder meetings, etc.;
  • Assist and support ESG, marketing and investor relations matters, on as needed basis; and
  • Assist and support other internal departments such as finance, accounting, tax, operations, and investor relations on legal matters, on as needed basis

Qualifications:
  • Juris Doctorate from a nationally-accredited law school with strong academic credentials
  • Member in good standing of a state bar.
  • 7-9 years of relevant experience in a large law firm or in-house publicly traded company having substantial domestic and international operations.
  • Ability to perform legal research and compile, analyze and interpret data. Requires strong analytical and communication skills and attention to detail.
  • Collaboration. Ability to be a good team player by helping others in the legal department and other A Global Provider of Power Management and IT Solutions Company departments, and by being versatile, positive, and diplomatic.
  • Client Service. Ability to make positive impressions on clients (internal and external) of the legal department by being polite, responsive, professional and helpful to users of legal services.
