What we are looking for:
We are looking for a Corporate Counsel to join our team.

What you will be doing:
As Corporate Counsel in the An Identity Driven Enterprise Protection Company legal department, you will be responsible for handling a wide range of legal matters, which may include corporate governance, compliance, subsidiary management, HR and tax matters. This role will involve collaborating closely with internal stakeholders, providing strategic legal advice, and ensuring compliance with all applicable laws and regulations.

In this role, you will:
  • Assist with legal matters for the enterprise worldwide portfolio including corporate governance, regulatory, subsidiaries management, tax, banking, privacy, intellectual property, IT security, general compliance and HR matters.
  • Advise and provide support regarding the organizational and structural model, global expansion and special projects.
  • Manage and coordinate the corporate development, transactions and strategic collaborations for Privacy, Product and Compliance matters.
  • Assist with corporate governance, policies drafting and general corporate matters.
  • Assist with legal oversight of worldwide HR practices and operations.
  • Stay abreast of changes in laws and regulations affecting the company and provide proactive guidance to mitigate legal risks.
  • Manage maintenance, training and compliance of internal policies, procedures and best practices.
  • Collaborate with internal teams, external counsel, and other stakeholders to drive legal initiatives and achieve business objectives.
  • Draft, review, and negotiate a wide variety of documents, agreements and contracts, when needed.
  • Advise stakeholders on intercompany matters and strategies associated with meeting business objectives.
  • Assist with review of advertising and marketing materials to ensure that they comply with legal requirements.
  • Conduct legal research and writing projects relating to compliance, operations, human resources, and finance matters.

Minimum Requirements:
  • J.D. and admitted to at least one state bar
  • Minimum of 7 years of relevant experience at a law firm or in-house
  • Direct experience with corporate formation, management and compliance (domestic and international)
  • Good understanding of privacy laws and data security (GDPR, CCPA, and CPRA)
  • Familiarity with international laws and cross-border transactions
  • Understanding and familiarity with third party risk management
  • Outstanding research, negotiation and writing skills
